Reading the information out there, the offer is definitely open to new and existing investors. So it looks like we can come into the offer via: (1) Primary Bid or (2) the offer for sub, filling out the form and sending it in or (3) your existing platform, but depends on the platform. Some look like they are only allowing existing investors (or at least only making it easy for existing investors). Some platforms may allow new investments if you contact them

The prospectus talks about intermediaries so they (such as HL) can make up their own rules, I suppose.

On top of my empiric experiment, HL state that it is for "existing" shareholders in both their corporate actions list and on the screen for stating an investor's intended action re. the corporate action. HL could simply be wrong and if so, they would be on both counts via a misunderstanding of the Offer's terms. Note that the Proactive share web site misdescribe the equity raise as being a £100mn Placement and a £10mn (up to) retail offer. Other information I have seen has hardly been more accurate.

I think II are correct - this Open Offer is to existing shareholders. I tested this today by buying a few shares into an account that did not have them previously. This account was unable to apply for more via the Open Offer. All the others that already had shares were able to apply. Empiric, if not absolute proof.

Received my corporate action notification from ii this afternoon in respect of the Offer for Subscription (possibly what you are referring to CWA1). I would hope applicants going in via this route will be treated more favourably if there is scaling back than applicants via the placing, although the RNS did not commit to this and it depends on whether the broker subscribes based on their total omnibus account position or on a look through basis. Offer For Subscription also best route in for holders in an ISA.

Can't get a coherent answer from II on this. They seem to to be suggesting I need to be an existing shareholder to participate. However they have recently offered three fundraises were there was no such requirement Aberdeen Standard European Logistics Inc, SDCL Energy Efficiency Income Trust plc and Home REIT plc.

For some reason, very strongly bid today at 115.8p. Clearly(?) interest from someone who is not eligible to buy in the Offer or Placing. But that is 117.3p in yesterday's money and it was only 116p bid yesterday.

Previously, if I recall, applications tend to have been filled in full. Given that this offer is a minimum of £100mn and they can go to a multiple of this according to the terms (though in practise, I suspect they would not get orders very close to the 450mn indicated as the further amount looking to be placed over the next 12 months), I think most applications under the stated 200,000 shares are likely to be met in full. II saying "they will see what they can do" is a rather amateur response given that the people who will decide this are Stifel et al.

XD this morning, with pay day being 16/11 FWIW, regarding my request to II to participate in the offer, they have asked me how many I wanted to apply for in the offer and they'd see what they could do. However I bought in the market at just under 116.5 before it went XD, so effectively getting in at about the offer price after transactional costs, giving me certainly of allocation, so am unlikely to take them up on their offer now anyway

As an existing shareholder, I'm waiting to see if I'm given the option to apply through the Offer for Subscription which was announced at the same time as the placing but so far heard nothing from my broker. If nothing comes forth I will most probably top up via PrimaryBid.

I can't see myself applying at the moment via PB. I need to hold these within my ISA or SIPP and I'd also need to know how many I'd get. I don't want to apply for say 10k and end up with 6k if it was scaled back. If there was more of a premium then perhaps I'd be more interested, but of course its in the current shareholders interests (who should be the priority) to keep this as small as possible. Seems a decent hold as an investment. I currently have about 25k in SLI & UKCM with the former at a bit of a discount to NAV. We all need some diversification.

The prospectus makes it clear that this is also an intermediaries offer, so it could be worthwhile checking with your broker if they are participating. This would be the only way to get a smooth application direct into your ISA. A second way (if you aren't a PB member) is to fill in the application form in the prospectus - minimum 1,000 shares - and get a certificate or CREST deposit. The third way is PB. The closing date appears to be 18 Oct for all paths. The pricing looks tight, as others have said. Personally I didn't intend applying anyway, but might have been tempted by a bigger discount than was offered.

Hi bluntnib, think one comment you made isn't fully right in that there is a route to avoid costs, so will not be incurred anyway. If you buy via the PB in a SIPP you will not incur any dealing or stamp duty costs and just pay for the shares at 115p. So there are ways to take part in this placing without incurring the costs. I took part in the October 2020 placing at 104p in the same manner and incurred no costs at all apart from the placing price for the shares. I've also received the same corporate action statement as Bscuit and no dealing charges is declared. Now you make the valid point to just watch out for the share price when SUPR goes ex-div this week. If it dips below 115p enough then those dealing & stamp duty costs could well be covered with a price below 115p to buy, subject to how many shares you want to buy and how far below 115p the buy price is to cover those costs. If that happens I expect it to be short lived as buyers take up a temporary market opportunity. Occasionally I have seen that to be the case if it does occur but just do not expect the SUPR offer price to drop below 115p ex-div. I suppose I'll find out on the 7th!
