I was rather hoping that they wouldnt bid actually (unlike another of my holdings - LSIC where i am waiting for a bid) as i feel this is worth quite a way northwards of 200p.

A little profit-taking in recent days was only to be expected.
Now we wait for the figures for the first half of 2016.Perhaps some guidance may be issued soon.
I did notice a big increase last year in the pay of the directors and top executives and would expect another big increase if the profits improve again.

No, the don't. The Code only requires an offer for the remaining shares if someone goes through 30% based on actual shares owned and in issue - that 30% specifically excludes options or convertible instruments given that they might not turn into shares. So at 22% ownership, this shareholder doesnt need to make an offer for the company even through they might potentially move through 30% due to their ownership of the convert. If the loan notes do convert into shares and therefore moves them through 30%, then at that point they would have to make an offer for the rest of the company.

My own view on the dilution from the convert is that you should look at fully diluted EPS; the flip side is that that would mean that the company has no debt, and cash equivalent to a large chunk of the (enlarged) market cap.

What seems strange to me is why they would want to aggressively add at this particular time when just a few weeks ago the share price was 50% cheaper!
