That whole debtors situation is another messy area that shows the danger of growth by acquisition.

You don’t really know what you have bought until after you have paid for it.

1R took over debtors from Rad-1 at a valuation of $38m and from Yume another bunch of debtors valued at $22.8m, so almost $61m in all taken on with the 2 acquisitions.

Unfortunately for 1R, $4m of these debtors were deemed to be impaired by the end of March, as per the FY18 accounts, page 70.

On balance it looks like a Rad-1 balance unless the due diligence on YuMe was really poor, as this write-off was a mere 2 months after the YuMe deal concluded.

So of the $20m+ paid for Rad-1 a full 20% of it looks likely to be for a dud asset.

Another brilliant piece of deal making brought to you by the (ex) 1R team.

You can see why Singer was let walk in and run the show here so easily.

Regarding the issue over DataXu court and Yume's settlement..

Annual Report:
Pg 63 - which is what Brassneck was referring to:

"YuMe, Inc.
On 2 February 2018, the Group acquired 100% of the issued and outstanding shares of YuMe, Inc. (YuMe), a Redwood City, California based company for a consideration of $163.4 million which consisted of $61.6m in cash consideration and 26,048,596 of RhythmOne’s common shares issued with a value of $100.9m and $0.9m due to the settlement of a pre-existing relationship"

and
Pg 79.. Note 29 Exceptional Items from continuing operations... which is what I and JonC were referring to...

"The acquisition related costs primarily relate to the acquisition of YuMe, RadiumOne and Perk Inc. The exceptional costs primarily relate to restructuring changes, onerous lease provisions, severance charges and a payment related to a commercial litigation settlement."

Litigation Settlement 976k

The 2 are different...
The 1st refers to "$0.9m due to settlement of a pre-existing relationship
The 2nd refers to "commercial litigation settlement"...litigation $976k..
The 1st refers to shares issued, the 2nd is cash..


The figures for both are different, the former is "$0.9m", the 2nd "$0.976m".
The 1st paragraph mentions other figures with more than 1 decimal place, so it doesn't make sense to mention only the settlement using 1 decimal place...

why would they truncate a legal figure??? where's the mention of the remaining $76k.. they can't just ignore $76k in legal accounts...

I think the $976k refers to the DataXu court settlement, especially as the court conclusion was 28th March, 3 days before yr end...

unless someone can prove otherwise...

barky, loaf is just one of the family members who is in deep negative equity on his unfortunate rthm holdings.. its all been a nightmare for him.. one would expect him to be a tad sour at this stage of the game after 10 long years of wealth destruction.

RTHM/BLNX IPO¢d in 2007, valued at $250 million (£125m) and was one of the best performing companies on the FTSE AIM 100 in 2013. It has already been valued by the market at over 1 billion.

Ok - if the RTHM business is positioned the best it has ever been and the same market already valued it at 1 billion - what would you say the positioning strategy should be by it's investors? lol

Scaffolders reckon 240p..just over the billion - what would be you guess?
