Sweet Karolina...rather too much of the royal "We know" ....you mean you believe or assume strongly ...which you are perfectly entitled to do

"We dont know" or the price would reflect what you believe "We know"

In addition if there is a black hole which you appear to believe strongly then KPMG are going to be in serious trouble...likewise SGH would have run a country mile by now and declared they had no interest in it...not saying they will but the logic does not compute currently with what is in the public domain

Lets just say (although I dont believe it) S&G are doing due diligence on the whole PSD division. Why do you think QPP are going to give them access to a review done on the whole company? What is your logic?

No they do not.
They are doing DD on the files not on the whole group. QPP will not show them what has been suggested as they dont want to show any more weakness.

Look at the announcements from S&G, they prove it.

My bear / short opinion

1: The current share price seems to be premised on a sizeable deal for some proportion of the legal services division. If either an offer is not forthcoming, or an offer is made but the quantum is lower than speculated then the share price will go down. Given the propensity for buy the rumour sell the fact the price could go down anyway.
2: A company spending time on due diligence provides no information one way or another as to whether an offer will be made. For example S&G are also gaining valuable market intelligence. DD goes on all the time in the business world without anything happening.
3: A deal of the quantum speculated looks a real stretch for S&G to pull off.
4: S&G will aim to pay as little as possible, QPP to get as much as possible. Any disagreement means no deal.
5: The PWC report is taking its time. Delayed news is always, always, bad news. We all know that from our own experience in the stock market.

PWC is almost irrelevant now
S&G have done their DD in parallel and have not walked away ( yet )
This suggests they still want a deal

The sum suggested would be a major ask for them , their existing shareholders and their advisors who will have to raise the money
This is why it is taking a long time
Fingers crossed that they will be successful!

Apparently Ennismore increased their short on friday to 0.93%..

You may recall I said last week that it was likely this would happen, as they have been in and out for ages, and the fact they reduced meant it was more likely they would increase.
