If Dbay offered 60p at the end its likely to go through imho.

If Potts were to pass away, have to wonder if some or all of his holding would be sold to cover inheritance tax. A Dbay opportunity to load up further.

They have enough fire power without any USA involvement and as durthur said, a take private history.

Lombard average price should be <30p.

Dbay first have to get a large US investment company to back them, then get Lombard and a few others to come onboard and sell their shares to Dbay for a price close to 55p. Then the firm can turnaround and start delivering under a new BoD and new strategy, plus efficiencies and a new sales and delivery team?

The problem with all this being dragged out will come from staffing. Employees can see the writing on the wall and first thing DBAY will do is a big redundancy programme. If you are any good why hang around for that? Suspect you see a significant talent drain in the coming months. Furthering weakening and already failing business.

If I was DBAY I would want a seat now to check who is earning their keep then vote out dead wood to increase dynamism and shareholder return. I wouldn't be hanging around until convenient to the BoD.

Perhaps the NEDs have a cushy number at Proactis.

If I held DBAYs percentage I would be agitating for change and to know all cylinders on the BoD are firing. 76 is a bit ripe to be holding a demanding NED position.

Rodney Potts is 76 this month and DBAY hold more stock than him.
He could be up to be next out the door via retirement or vote.
If so then at least one new NED seat.
Probably have DBAY and LO wanting to keep a close eye on things.
Slowly the BoD will change and oversight along with it.

At what point a change in BoD engenders renewed interest in the company, I have no idea, but it should. New brooms etc.

This was from 4th March and now half way.
They had 3 Exec, 2 NED excluding Chair.
Now 2 Exec, 2 NED so 50:50.
What next?
1 new NED or (1x Exec + 1x NED) or leave as is and save the money?

1.4 million shares traded today. Listed as sells but think we all know by now that it’s accumulation by DBAY. Didn’t budge share price. Hostile looks unavoidable.

CIO is designated a GOOD LEAVER so I think he gets to be included in fully vesting any unvested awards if there is a takeover in the next 12 months.

'In the event of a takeover, any unvested Bonus Awards or LTIP Awards shall vest (but only to the extent determined by the Remuneration Committee) unless:

(i) where the performance period related to the Bonus Awards or LTIP Awards have not yet expired, the Remuneration Committee exercises its discretion to determine whether any participant is not a good leaver. Bonus Awards or LTIP Awards held by any such participant shall lapse as a result of a takeover;'

Given the dire share price and lack of interest I guess some BoD exec had to fall on sword.

CFO is relatively new, CEO resignation would be even worse at mo, so CIO makes a decent target. Other BoD members are non-Exec.

It's a start of change.

CIO role is pretty important. Is he not seen as fit for purpose, or the BoD seat needed by someone else or a younger person available from the Esize team or what?

CIO doesn't need to be on the BoD so it might be they are being pressured for a more independent BoD.

Interesting as there is now a CIO role change-over over next 12 months and more importantly a BoD vacancy to fill sooner rather than later.
