JV terms amended. Although most of the terms are similar to the original
agreement (Longford JV agreed with Powerhouse Energy, 22 March 2023),
there is a slight change to the payments. The initial agreement was for a
£400k payment. HUI has already received a payment of £100k, and will
receive further £100k payments on the signing of the Subscription and
Shareholder Agreement and once planning permission has been granted.
The partners will fund the development on a 50/50 basis with initial
funding by way of shareholder loans (for a maximum of €200k each).

Why is all of this HUI specific news in the header of a PHE thread ?

HUI acquire 49% of Carbon Capture and Sequestration Ltd (CCS) for a loan of E500,000 to CCS (convertible into a 48% shareholding under Option by 31/10/2024) to HUI Director and CCS's founder/Director, Howard White. CCS does not currently appear to do any carbon capture or storage. The money will be used to as a first payment towards a total cost of E9.5m (spanning Jun 2023 - Dec 2029) for CCS to buy 95% of a cannabis farm in North Macedonia. (HUI, 21/6/2023)

The stated reasoning is: "The cashflows anticipated to be generated by CCS and which would flow to HUI following acquisition, based upon CCS projections, would provide HUI with a stream of positive working capital to fund its operations and the roll-out of projects...Should HUI exercise the Option, the acquisition of 49% of CCS would represent a material related party transaction due to Howard White's current ownership of it."

Question; Who is doing the presuming ?

Also in Red, you ask "is unclear why PHE paid £572,000 for 52% of Engsolve in Jun 2023, when they only paid £99,990 for 48% in 2021 - Something closer to £108,322 for the 52% in 2023 may have been more logical on that basis; particularly as PHE presumably accounted for a large proportion of Engsolve's revenues, and Engsolve technical staff could perhaps instead have been recruited into PHE at zero cost.
