Issue of Equity

Oxus Gold PLC ("Oxus" or the "Company") announces that RAB Capital Limited, as discretionary manager for RAB Special Situations (Master) Fund Limited, has been issued 18,534,965 new ordinary shares of 1p each in the Company ("Ordinary Shares") in lieu of the accrued interest attributable to convertible loan notes in the Company for the period 06 July 2012 to 5 January 2015. The new Ordinary Shares were issued at a price of 2.14p per share, being the average closing mid-market share price of the Company for the period 06 July 2012 to 5 January 2015.

Application has been made for 18,534,965 new Ordinary Shares to be admitted to trading on the AIM Market of the London Stock Exchange. The new Ordinary Shares will rank pari passu with existing Ordinary Shares and dealings are expected to commence in the new ordinary shares on 20 March 2015.

Following the issue of the new Ordinary Shares as set out above, the Company's issued share capital now consists of 566,182,529 ordinary shares of 1p each, none of which are held in treasury. Therefore, the total number of voting rights in the Company is 566,182,529.

Where in that is your 1-1.5p that you were quoting earlier, don't let the facts get in your way. :)

I wonder if the Uzzies were waiting to see how this RAB debt would pan out, hoping we would get squeezed out of existence? Perhaps this will now prompt them to come to the table sharpish with a half decent offer before an award lands?

Snake - perhaps you should read what is copied and pasted by your own hand:
"the average closing mid-market share price for the Company for each 6 month interest period"

Emphasis on 6 month period - not 3 year.

unbelievable dean, it clearly says in the rns this.

This figure has been calculated using the formula in the terms of the Notes which provides for any interest accruing after 5 July 2012 to convert at the average closing mid-market share price for the Company for each 6 month interest period.

where the hell does Edgien make that the last average price over the just the last 6 months?
It is clearly over the last 3 years as in my 1.5p estimate
But hey dont let facts stop him attempting to bully me or smear me.

I have offered to show my trade notes, what more can i do> FFS ed respect others opinions will you.

I preferred option C - OXS debt free, $12m CLN's converted at 8p per share, 100% premium to the current share price. Had you mentioned that option just yesterday many would have laughed at you.

You're under the illusion that it makes one jot of difference to me if you hold 1 share or 685m shares. Personally I don't care. At least you've stopped trying to con folks into believing that the interest payment was converted at prices not seen here in over 2 years. But you're in now, you'll be much more convincing I guess although people here are more interested in developments in OXS like for example today's significant developments.

Hi Pug, yes, I'm delighted by this. Of course the risk of a loss remains although I think things look very favourable, but my main concern was OXS being forced to issue another 500m shares or more. I think the news today highlights again that RS looks after ours (and his) interests very well. The minimal additional dilution means that any award at the lower level of expectations shuld still give a very attractive return from current levels.

Snake earlier you told me to read the RNS ref CLN Conversion price of 8p, please explain why you think RABs average (other than the interest) is not higher than what the share price is now.

It all depends on how much someone believes what's typed on a bb. At least you've settled down regardless of how many you've bought, a more relevant topic for today is the $12m converted at 8p per share. That's the most important thing on holders minds and the fact that OXS is now debt free and not under the thumb of any CLN holder regardless of the outcome. Noone can demand $12m for example after 60 days of awaiting payment if we should win the case. That's a much much more relevant issue today, but I guess that'll be your focus now that you're in.

My last top up was on the day that RS told us:

"Outlook

The directors remain confident that the Arbitral Tribunal will, in the very near future, rule in the Group's favour and that fair compensation will be awarded for both the AGF and Khandiza mining assets, which were blatantly misappropriated by the Republic of Uzbekistan. In this respect, the Board will continue to take whatever steps it deems necessary to ensure the return of value to the Company's long-suffering stakeholders."

That's only 16 days ago, had you been a holder you'd have seen my comments at the time. But perhaps now that you've bought in you'll stick to the facts rather than imaginary prices for the interest payment that you used to try and obtain your entry price earlier today. I've no problems with folks that stick to the facts, not so keen on folks that behave lower than a snake's belly just to talk someone else out of their shares. Don't worry though just because I didn't add doesn't mean I don't understand why CLN holders converted at a 100% premium to today's price. Some might see that as a very keen price in the very near future, very keen indeed, especially if OXS get awarded fair compensation.
