This gives him benefits in other aspects of taxation planning. It is a personal situation and the extension to other warrant holders is not really relevant. 23/12/2016 14:44 | The warrants were initially issued out of Ducat pre Opti The majority of Ducat shareholders called their warrants during 2014 / 15 and 16 I did not as I am hugely loyal to the Company In October I sought to call my warrants and take up the stock without selling any again this is my commitment to the business As a professional I sought tax advise and the resulting HMRC opinion is that I would have had a benefit in kind immediately on exercise (income tax) all external warrant holders paid CGT on disposal, therefore even if I did not sell a single share I had to pay HMRC 47% on the difference between 8p and 64p = 56p X 400,000 = £224,000 @ 47% = £105,280 within 30 days this in my opinion is not terribly fair as everybody else paid CGT as explained on disposal. I sought Board approval and NOMAD approval to extend the warrant period and rather just to do it for myself I have extended it for all current holders When you state "I have shifted the goal posts" what I had was something inequitable as I was at a huge disadvantage and didn't want to dispose of any stock to fund the tax position on calling the warrants I hope this clarifies your understanding of events Kind regards Adam | ![]() john henry | |

I can only speak for me and one other and can say that I think a bit of venting at this Rns is fair enough( and that's all it is), I am still absolutely in this for the long haul and will add where I can but this has been a year of 2 steps forward and one step back. Steps forward are IMO the company has consolidated on a great 2015 and is I believe a stronger and more durable business with some great news due going into next year. Step back is I think we have lost some momentum in the perception of this in the wider market, the pieces do seem to be in place to reverse this in H1 however. | ![]() 1bokke | |
23/12/2016 11:25 | Oh my giddy aunt. Calm down, we are talking about a mere £70-77k of outstanding warrants here, not a boat load of impending dilution. TW has £10k worth of warrants and AR has the remainder. AR stated he has to sort his tax issues (podcast)....so the can gets kicked down the road for 6 years. Big deal! Is there more to this warrants meeting? Perhaps, just maybe OPTI are thinking about Skinbiotix warrants post IPO? Since the OPTI IPO there has been a steady stream of RNs related to new warrants hitting the market, just maybe OPTI want to widen the window so there isn't a flood of warrant RNs. Yes of course it means warrant holders get to have their cake and eat it - why shouldn't they be rewarded and encourage them to hold the warrants for longer. | elrico | |
23/12/2016 11:15 | The timing of potential good news is clearly pushing out further and rather than exercise the warrants and hold the shares which would mean using their own cash and taking on some risk (at a mere 8p)- they want to kick the can down the road to their benefit as risk free as possible. Our benefit as ordinary shareholders is they do not exercise and dump depressing the share price - have to look at the positive for us. Will be interesting to watch out for the granting of new share options to the directors and employees (nicely wrapped up in EMI schemes)and the vesting/exercise schedules. | ![]() diablo26261 | |
