gbb I think if you read the rns carefully you will see that it is the shares nominal value which is 5p. The selling price could be absolutely anything, but will probably be at a discount to the current 10p.
I stand corrected on Ringwood T&C as the purchase doesn't seem to have been concluded yet. So it could well be separate attraction to operate in the future.

Yes, good news and bad news. Good that they hope to be profitable by next year, bad that the placing will be at 5p, which will drag the share price down, which means we'll have to apply (if we can) or lose out.

Well things have changed! A trading update. The placing remains in the offing and the update seems part of a good news strategy.

None really. It is a wholly owned subsidiary of Oak. That said Oak may continue to run the park but whether they run with YES project I am beginning to doubt.

Interesting to note that Rother Valley Country Park Limited, subsidiary of Oak Holdings, that HSBC has now registered an all moneys debenture as a charge on 27 August 2009. So it shows that a Bank is prepared to back the venture of a relatively new company. It's a shame that Oak cannot keep us updated as to the placing (5 months since announced) or the progress of the acquisition of Ringwood Town and Country Experience.

Last year's interim statement came out about this time and caused the share price to double.

Rother Valley Railways has, as you say, been around for some time (1991) - since before even Anglo Welsh came on the scene (1996), and have been down in the South East all the time (well, they're registered office has).

Interesting use of the english language.

The Company also changed its registered office yesterday - that should have been announced to the market but hasn't. The change of registered office notices states that the new Registered office is 38 South Molton Street, London, W1K 5RL.

According to Companies House Rother Valley Railway Limited has been established for some time. None of the directors appear related to Oak.

The Board of Oak Holdings PLC announces that Michael Hill has resigned as a
director with immediate effect.

It always worries me when they say 'with immediate effect'. It implies a sudden exposure of new information, did he jump or was he pushed, and either way, why?

The Board also announces that Mike Williams, Founder Director of CDC, will
oversee the financial function of the group with immediate effect

Googling Mike Williams and CDC yields "CDC, the intelligent buildings experts", "Mike Williams, Managing Director and Founder of CDC, the Intelligent Buildings people, has been named as one of RealComm's 'Top 35 People to Watch in 2008'." Hmmm, this is 2009.

It looks like CDC were invited awhile ago (2nd May) ( ) - shame Oak didn't see fit to put out an RNS.

Either way, it hasn't stirred the share price - though it could have been people in the know pushing the price up late April - once again the simple individual investor is treated like a mushroom.

I suppose, and it's only supposition, but if it placed the amount allowed to under AGM authority namely £7.25m worth at the supposed 5p there would be an issue of some 145m shares. After paying off all the existing creditors etc such an issue would leave about £4m cash. Maybe it won't issue that many shares.

Or miss out the whole statement which states clearly that the YES project will probably be phased - that they have the lease of the Rother Valley Country Park and are acquiring a cash generative business.

It will be interesting to see how many shares are issued and how much is raised by the Company.

I am not sure why they didn't include the valuation of the YES interests in the balance sheet.
