Is it always so difficult to buy NWT?

Limit and buying online n/a. Eventually AJ Bell bought some for me. Presumably selling will be slightly more easy?

As regards a takeover value for NWT, I would think that somewhere in the range of 50p to 100p / share would be most likely.

I.e. at least double its current 25.5p, and possibly treble or quadruple.

NWT's last placing was over seven and a half years ago.

And even that was a placing of pre-existing shares, not new shares.

And moreover, at a 'old' price of 2.6p/share (in 2015), which equates to a 'new' price 130p/share consolidation-adjusted.

This highlights how NWT is a business of real quality and substance, not just one of the numerous AIM penny share 'rubbish' companies reliant on 'greater fool' funding to keep them going ... until such time as the money dries up.

NWT is a company that you would expect other business to be seriously interested in buying at greater than its current s.p.

Whereas with some other AIM shares, businesses might rather prefer to pay NOT to own them, as they are just liabilities.

The more time that elapses, the more likelihood I think that NWT are engaged in takeover talks (i.e takeover of NWT).

This I should stress is pure speculation on my part though, & I may be completely wrong.

Either way, we should soon find out.

The results should certainly be accompanied by a trading update for the period since the year end, which the way things are going could cover virtually all of the current half year!

And it's this trading update which should be of more interest that the results themselves, as we were told what to broadly expect results-wise in the 24th. May year-end trading update.


NWT haven't actually given a date when they will announce their full year results for the year to 30.4.22, and under AIM rules they have until the end of October to announce them, so they are not actually late as such.

But they are later than in recent years, and later than people were expecting.

Though there may be nothing in this.

Paul Campbell-White joined Newmark as Chief Financial Officer on 6th. September last year, four days before the final results were announced, so the imminent finals results will be his first that he's really prepared.

So it shouldn't be a surprise that they're being issued later than last year.

Or there may be something else going on that we are unaware of at the moment.

I personally am optimistic, because all the research I have done indicates to me that the company is doing relatively well for the current conditions, and as such the business is worth far more than it's current share price.

But it may be that uncertainty about the results is holding the share price back at present.


It's also over three months since NWT non-executive director Robert Waddington resigned (for personal reasons - he's in his early 80s) on 6th. July, although he actually left on 8th. September.

NWT don't seem to be any rush to replace him.

Weak sterling has already seen a recent succession of North American predators snapping up British companies.

So I would fully expect this trend to continue.

And while it's the big companies that tend to attract the headlines, small companies of course get acquired too.

And the premiums paid can be even bigger than with big companies.

Enterprise software firm Micro Focus (MCRO) has agreed to be taken over by Canadian company Open Text (OTEX:NASDAQ) in a $6 billion cash deal.

Ontario-based company is offering 532p per Micro Focus share, a 99% premium to Thursday’s closing price.

After five years of share price declines, Micro Focus shareholders can be forgiven for snapping Open Text’s hand off. The 2017 merger with HP Enterprise’s software arm was a massive error in judgement and has cost shareholders billions in lost equity value, and the company nearly 50 years of independence.

As the UK’s sixth largest software company, losing Micro Focus is another blow to the UK’s shrinking large cap tech space.

UPSURGE IN UK TECH EXITS

This week saw speculation emerge that engineering software firm Aveva (AVV) will be swallowed by its 59% majority owner, Schneider Electric (SU:EPA). With cybersecurity peers Darktrace (DARK) and Avast (AVST) respectively mulling and closing deals with Thoma Bravo and NortonLifeLock (NLOK:NASDAQ), it means if all of these deals close, the UK stock market will lose its second, third, and sixth biggest software stocks by market value.

£1.2 billion healthcare tech firm Emis (EMIS) is also in negotiations after receiving an offer from UnitedHealth (UNH:NYSE).

So much for the Government’s empty promises of unleashing London’s equity markets to attract big tech companies. Some investors are still reeling from the short-sightedness that saw Cambridge’s microchip designs champion Arm Holdings flogged off to foreign owners. ..."

Truss’s government has set out the most radical package of tax cuts for the UK since 1972, reducing levies both on worker pay and companies in an effort to boost the long-term potential of the economy. Economists are concerned the package is unaffordable and will trigger a currency crisis over concerns about rising debt.

The pound on Friday slumped to its weakest since 1985, trading at $1.0908 as of 3:52 p.m. in London.

“It would not surprise me if the pound eventually gets below a dollar, if the current path is maintained,” said Summers, a Harvard University professor and paid contributor to Bloomberg Television. “This is simply not a moment for the kind of naïve, wishful thinking, supply-side economics that is being pursued in Britain.”

The former Treasury chief also flagged dangers with a surging dollar, which is adding to inflationary pressures for countries around the world and increasing pressure on overseas borrowers that have issued debt in the US currency. He also indicated that dollar appreciation -- fuelled by the Federal Reserve’s shift to a more aggressive path of interest-rate hikes -- may continue.

“This is going to be an issue that is going to be with us for some time,” Summers said. “Countries are going to have to be adjusting to a very strong US dollar,” and it will complicate macroeconomic management in may economies, he said. ..."

Friday's NWT volume of just over 100,000 shares traded (over 1% of the shares in issues) was actually the highest daily volume for over two years.

But it looks like the selling has probably now cleared: an odd-sized large sale (as on Friday) often marks the last of a holder's stocks.

Is there a better value stock on the London Stock Exchange than NWT?

Certainly not that I'm aware of.

Fair value would probably be at least double the current share price of 25p ... not accounting for further potential upside as newsflow progresses.

A rather strange fall in NWT's share price yesterday, to end the week, to its previous all-time closing low of 25p (previously reached this April).

Looks like a 'distressed seller' has dumped their stock at/near an all-time low.

There's been quite a lot of this 'stupid selling' this year, and the likelihood is that the seller will be even more 'distressed' soon, when NWT rebounds.

At a market cap. of just £2.34M., and expected revenues for the year ended 30.4.22 of c. £20M., this looks to be quite extraordinary value.

The directors are probably gutted that they can't take advantage, being in the close period ahead of the final results.

That's where retail investors have the advantage.

The seller can only sell once, and one the cheap share are hoovered up (a process which started yesterday afternoon), they're gone.

It's been well flagged up that NWT has made a loss last year, but the company should move back into profit as we emerge from the pandemic, and any sign of that and a rapid return to 60p+ looks well in order.

There's also the 'blue sky' possibility of a takeover of NWT ... and such takeovers are sometimes announced in tandem with a company's results.

The poster villyvilson created this thread, one of just two threads he has created in his twenty years on ADVFN.

And the majority of his posts in the last ten years have been about Ashtead Group (AHT):-



And interestingly, AHT has been a crackingly good performer.

AHT traded as low as 2.5p in mid March 2003.

And AHT is now 4,277pp, and it traded as high as 6,450p last November, making it a 2,500-bagger low to high: a real millionaire-maker if ever there was one.

Nothing is guaranteed of course, but Villyvilson's identification of AHT's bullish potential just might be a sign of very shrewd judgement on his part.

EU gas prices seven times higher than in US – CNN

... The United States has stepped up its exports of LNG to Europe in an effort to mitigate the impact of declining flows from the continent’s major natural gas supplier, Russia.

“Every spare molecule we can find, we are shipping to the Eurozone,” Robert Yawger, vice president of energy futures at Mizuho Securities, said.

European gas prices have quadrupled since the start of the year on thinning Russian flows. This week, the cost of gas futures on the TTF hub in the Netherlands exceeded $2,600 per thousand cubic meters for the first time since March. Prices are forecast to spike 60% this winter, exceeding $4,000 per thousand cubic meters."




NWT's substantial US business also gives it more protection from the European energy crisis, as unlike the EU the US is energy self-sufficient.

And NWT's business and customer base are not energy-hungry, and the safety and security business is more resilient to recession than many.

The pound has fallen to a 37-year low against the dollar

After Liz Truss’s first full day as Prime Minister, the pound sank to its lowest level against the US dollar since 1985.

Liz Truss’s first full day as Prime Minister coincided with a foreboding record in the currency markets. As Truss prepared to announce her plan to tackle soaring energy bills, expected to be funded through more than £100bn in government borrowing over the next 18 months, the pound sank to its lowest level against the US dollar since 1985.

The latest exchange rate published by the Bank of England, $1.1467 per pound sterling on 7 September, is lower than the depths plumbed during the turbulent first weeks of the Covid-19 pandemic in 2020, and far lower than anything experienced during the 2008-09 financial crisis.

Though the pound briefly fell to $1.1492 in March 2020, it stayed below $1.17 for only a single day. As of 7 September, the pound has remained below that benchmark for seven consecutive working days.

The pound has lost 15 per cent of its value against the dollar so far this year, and 29 per cent of its value since the UK voted to leave the European Union in June 2016.

A weaker pound makes it cheaper for American consumers to buy from the UK and more expensive for UK consumers to buy goods denominated in US dollars. A weaker pound is likely to be good news for companies that earn most of their revenues in dollars but bad news for those, such as manufacturing firms, more heavily reliant on dollar-denominated imports."




The strengthening US dollar, compared to sterling, is great news for NWT, in three ways:-
1. Becomes cheaper to sell to America.
2. Value of NWT's US revenues is increased per dollar.
3. NWT becomes a cheaper takeover target for a US predator.

This has already been reflected in NWT's interim results, where the HCM US revenues rose 62%, to £4.209M., accounting for 43.4% of NWT's £9.697 first half revenues.

And the substantial business that NWT conducts in the US also increases the chance of a US takeover, in two ways:-
1. Brings NWT on the radar screens of more American peers.
2. Makes it more attractive to a US predator wishing to expand domestically.

The Chairman needs to be be decisive with this year's Final Accts.
Their market landscape has changed & NWT is too small to weather the storms.
It is a family business but also his pension pot.
Strip the HQ overheads & listing fees out and more value would appear.

Based on their latest half year results, the annualised revenues of SNX & NWT are:-
SNX: £45.6M.
NWT: £19.4M.

Whereas their current market capitalisations are:-
SNX: £18.24M. (at 102.5p)
NWT: £2.77M. (at 29.5p)

If NWT were to trade at the same revenues multiple as SNX (which itself looks cheap), i.e. 0.4, this would equate to a market cap. for NWT of £7.76M., i.e. c. 82.6p.

NWT's coming final results, for its year ending 30.4.22, could potentially provide a catalyst for a re-rating upwards.

Synectics moves into profit as markets improve

A look at the major movers on the London market on Tuesday

Synectics (AIM:SNX) has moved out of the red in the first half of the year after an improvement in most of its markets.

It has turned a £0.8mln loss into a £0.5mln profit, with revenues edging up from £22mln to £22.8mln.

The company said it expected a further improvement in the seasonally stronger second half.

It said: "Activity levels in the major end-user markets that Synectics (AIM:SNX) serves generally continued to gather momentum as markets severely affected by the pandemic began their recovery, particularly in oil & gas and US gaming.

"That recovery is, as yet, less evident in casinos and gaming resorts in Asia-Pacific where leisure travel has remained subdued."

Chief executive Paul Webb added: "A strong team performance has delivered a substantial turnaround in profits despite challenges in the supply chain, and with some end markets still subdued. We expect this trajectory of revenue and profit growth to continue in the second half of this year and beyond."

Its shares are 9.73% better at 104.24p. ..."
