Fact is any of us could have engineered this deal - if the board had one crumb of moral conscience then if this was genuinely the BEST DEAL FOR SHAREHOLDERS which I doubt as they said they looked at 30 - then they should do the right thing and give up all their shares as they have failed us completely for going on 2 and a half years

At the last AGM only 15pct of shares in issue attended the meeting, I would expect the turn out will be much higher this time and it will need to be. I would expect that the 20/25pct of shares held in instos hands will vote in favour. From a fiduciary duty viewpoint it will very hard for them to vote for the probability of nothing vs the certainty of something. I suspect to have any chance you will need a turnout well in excess of 50pct and with a very significant majority of retail voting against. Best of luck with it, either way it is going to be exciting.

I will not waste this many votes I can assure you. Between me and Chuffer this vote won’t go through based on previous numbers of votes cast in recent GM’s

You said “ My vote has been instructed to go in at 11.30am before the 12 deadline”. Then it is a wasted vote and your shares will not be counted.

Why ? Small print of the proxy forms “The form of proxy should therefore be completed and deposited with the Company’s Registrars by 12.00 p.m. on 10 June 2021 (or, if the meeting is adjourned, no later than 48 hours (excluding any part of a day that is not a working day)”

Big part of me things the Director’s carved out Iclaprim to their buddy John Palmer who couldn’t sell Iclaprim for 18 months so that he could set up a secret company- even Walbrook admit they aren’t sure whose on the Board - probably the Motif Bio Highway men I am confident- so that if the RTO doesnt happen they will sell Iclaprim and take 100% of the profits once they delist and bankrupt Motif with the last payments of their unearned salaries.

Nothing else about the deal makes sense with Orange - they took a bargaining chip off the table for Motif shareholders- how is that in our best interests - gave it to some old codger who couldn’t sell it in the first place. That isn’t a coincidence that’s a plan

I don’t want to give them anytime to backpedal out of this deal. It’s time to turn the lights of by ourselves.

If they had one morsel of morality they would have engaged with shareholders after announcing this deal but they cowered behind their desks presumably in collective prayer we would enrich them further.

Sadly this whole reverse takeover has shown the Board up for heat they are a conspiracy of cowards.

If this is such a great deal for share and and in their best interests then answer their concerns BEFORE the vote. Don’t just publish it and run away and hide hoping the shareholders have the same backbone as the board - we are not however jellyfish.

Amazing to think such a great prospect with a fantastic new CEO has allowed at the genesis of her company to be duped by these charlatans. Giving Jonathan Gold 2% fully diluted of her company whilst the very people who kept the company going are wiled out is how this company will start its public life.

There was SIGNIFICANT room to help shareholders with a better deal and they simply didn’t

The fact there is no engagement from the company or the PR company tells you all you need to know about what THEY THINK about the deal - it’s indefensible even to them.

Surely rule one of being a Director is that you have to actually talk to your shareholders about such a significant event - to explain what it’s int their best interests- apparently the Motif Bio Director’s believe that’s not the case

Honestly, as a group of disgruntled shareholders the only way you will have any real impact on the directors is to sue them for negligence. Even if you don't win you will cause them huge stress, reputational damage and also force them to have to put their hands in their pockets for legal fees. It is almost certain the RTO will go through as they will have gotten enough indications of support before launching the deal but disgruntled shareholders can always sell their shares and use those proceeds to go after the directors. In someways that would be a maximum impact win paid for by an investment that some are prepared to see go to zero. Best of luck to you.

Yup definitely see the merits in letting these directors destroy other peoples investments unchecked.

Sorry that’s not going to fly with any of us here. That’s supporting the Director’s actions when they are supposed to be acting in shareholders best interests.

The fact that Walbrook- Motif Bio - share price Angel can’t speak - organise - engages - or set up a zoom meeting to defend this utter sh*t* deal for long term shareholders speaks volumes.

The silence guarantees their collective guilt

Walbrook haven’t even had the minimum of courage to tweet the RTO deal on their social media channel. Embarrassing emancipation of a PR company

I howl the money that have scrounged from these unscrupulous directors is more than most by no one taking their business after reading what has gone on here for ordinary hard working shareholders
