Can the offer be withdrawn

interesting situation


my opinion is the offer should stand

this virus has nothing to do with MOSB

and it is not permanent, it is a temporary situation.

shops will be re-opening very soon


also the offer was made on March 12


the whole world knew about coronavirus by that time

so there was always the possibility of it spreading via the worlds airports

can't see how they can pull out of this offer

very lame to even try imho


if the offer had been made last year, before anyone had even heard of coronavirus, then I might have some sympathy


So the question is, will the Takeover panel apply common sense ?

Time for a new board; I thought for a while that the BoD and senior management could trade its way out of this. Given that the BoD rolled over when this paltry offer was 'negotiated', and their failure to see why the bid is being withdrawn, a new team must be found to guide this ship. The sooner the better.

I used to deal only with one older salesman in Glasgow, he was excellent in his approach, pity there was not more like him. however, with social distancing it is going to be difficult to offer the same 'product' / service.

Reason for attempted withdrawal = As the old saying goes "As plain as the nose on your face" ie: Total shut down of UK retail - Very material (imo)

"The Board notes the requirements of Rule 13.5(a) of the Takeover Code, which states that Bidco may not invoke a condition so as to cause the Offer not to proceed, to lapse or to be withdrawn, or so as to cause the Offer not to proceed, to lapse or be withdrawn, unless the circumstances which give rise to the right to invoke the condition are of material significance to Bidco in the context of the Offer."

If the Takeover panel do not agree then they must be the only people in the world (Apart from Donald Trump last month) who do not think that Covid 19 is of material significance.

I picked up some more at 22p, they have a good chance of turning this around now that they have the new store format and some good brands in store. Broker price target has been the same 42p for a long time

New FD, no reasons why current FD leaving and CEO, Brick stays on despite seeing shareholder value eroded from 120p to 18p at low. Surely the new activist investor will want a change of leadership. Value erosion and dividend erosion on a massive scale but CEO remains in place
