Essentially, MARS lose £580m of 'brewing assets' but gain - UP TO - £273m cash and 40% of a £780m new company.

Make an estimated £24m in annual savings (no doubt at CAMRA's disgust) and of course we all know that creating this new company and adapting working practices at Mars & Carlsberg around it will cost money.

Exciting times.
The quality of the beer had better not suffer.
Great news for the MARS share price today, not much movement on the Carlsberg front.

Expect volatility.

There'll be plenty of volatility here until late this year when the deal will be finalised.

Having had a brief look at the plan it does look extremely good news for Marstons :-)

Carlsberg's share price has barely moved.

Investors cheered news today that beer and pubs group Marston's (MARS) will merge its brewing business with Carlsberg UK to form Carlsberg Marston's Brewing Company, lifting the shares a dizzying 101% to 65.5p.The deal values the UK's largest brewing business, with six breweries and eleven distribution centres, at up to £580m, almost three times its current market cap and around 13 times adjusted 2019 earnings before interest, tax, depreciation and amortisation (EBITDA).

“This announcement about a proposed new Carlsberg Marston’s Brewing Company is a red flag to beer drinkers and pub goers across the UK and gives us cause for concern about the future of British beers, brands and breweries.

“If this joint venture goes ahead, we would see further consolidation of the brewing industry into just a few large, international players – to the detriment of our national brewing heritage, consumer choice, the diversity of beer in pubs across the country and the access to market for the small, independent brewing industry.

“CAMRA wants to see Carlsberg and Marston’s protect jobs and protect pubs, as well as to resist any brewery closures or moves which would see existing beers losing their identity, or regional character, as part of a merger.”
