Another week and the share price dripped lower
Shame but I guess the promise of answers on Monday just kept people in..

I am convinced only platitudes and vagaries on Monday. Maybe with a nod to the end of the month AGMs

So much money to be made elsewhere. Hope all are taking advantage.

Questions for KIBO Q&A June 12 2017

Following the April Investor show, comments attributed to you (LC) were posted on the LSE BB as below. Your alleged reply is shown in bold italics

" Re Sepco III -

:-) Can you confirm that KIBO initiated the revision to the original JDA agreement with SEPCO III for their best interests and not that Sepco the JDA was revised as they were not prepared to commit funds due to low IRRS of the Power side of the project.

Emphatically and rightly pointed out by LC.
"Why would SEPCO enter into a deal for 1.8m plus 3.6m just for backcosts and nothing else when the original deal was $3m for 15% ?"
. There was no need for further discussion.


Can you confirm that this accurately reports what you told the poster ? As it stands it appears to confuse two different issues and does not answer the original question

The contract with Sepco III to repay Kibo part of its costs to complete the DFS for MCPP is quite normal for a would-be EPC contractor, but is completely different from any intention for SEPCO to invest equity in MCPP itself (or in any SPV which I assume we can take to be the MDC - Mbeya Development Company).

Your April 2015 RNS re the JDA said (in so many words) "SEPCOIII's funding contribution to the MCPP will be as an equity investment to a maximum of 15% of total equity in the SPV which will hold the MCPP asset. This investment will take the form of a contribution to the completion of the DFS and all activities up to Financial Close"

Your RNS 25 August 2016 then stated

"SEPCOIII will no longer earn any equity in the MCPP and all payments to Kibo will be a cash refund for historical development costs of the MCPP"

'MCPP' here is of course quite different to any SPV to which the original April 2015 RNS was referring

Can you please clarify. Due to confusion between a SPV and MCPP Investors seem to have been assuming that SEPCO was originally going to invest equity in the MCPP itself - thus endorsing it as an attractive investment. And therefore that as SEPCO has now withdrawn, it thinks MCPP is not now as attractive.

Bearing in mind also that
1) Your RNS's so far have said Kibo shareholders will retain a 'significant stake' in (initially the SPV and later MCPP)
2) That you confirmed to a shareholder that they would 'retain some 30%"
3) That your advisers will know that with an overall irr around 22%, there is little scope for any other investors to allow Kibo a 'free carry' in MCPP without suffering a substantially reduced return for themselves, and that
4) .the equity component of the c $500m development cost for MCPP will be 30%

- How is Kibo and its shareholders going to finance such a large capital commitment in order to retain any 'significant share' in the MCPP itself (as opposed to the SPV)

These questions are asking for clarification of points already made by Kibo in the public domain. So 'commercial confidentiality' need not preclude their being fully answered.

No news this year that's the worry for us all and most will sell up.I imagine the placing price would be around 3.5p and considering 90% of holders have an average of 5 - 6p so it's not good for us.

Yes I think we shall see either the one of new shares coming flooding through from Sanderson share fee payments or the two which is a discounted placing but what price would this come in at? You see on the LSE they are convincing themselves that all will be fine and rosy despite worrying delays and the no news hole in the filling. Why so much they will not answer the questions that are the ones that should be answered?Licences???????? WHY DELAY????Monies looking to placing I will say.

Going Concern
The Directors have reviewed budgets, projected cash flows and other relevant information, and on the basis of this review, are confident that the Company and the Group will have adequate financial resources to continue in operational existence for the foreseeable future.
NOT 12 MONTHS
The capital-raising through loan facility agreed with Sanderson Capital Partners Ltd prior to year-end has provided further cash resources in order to ensure prospecting activities are continued as planned without interruption.
PROSPECTING ACTIVITIES. LOOK AT THE EXPEDITURE
The future of the Company and the Group is dependent on the successful future outcome of its short and medium term ability to raise new equity funding and the successful development of its exploration interests and of the availability of further funding to bring these interests to production. The Directors consider that in preparing the financial statements they have taken into account all information that could reasonably be expected to be available. Consequently, they consider that it is appropriate to prepare the financial statements on the going concern basis.
SHORT TERM. HOW DOES THIS TIE UP WITH RECENT INTERVIEW WHERE MESIUM TO LONG TERM RESULTS FOR SHAREHOLDER VALUE!

Sanderson allows us an advance on the outstanding funds due to us from SEPCO III at nancial close of the MCPP repayable in cash (or shares at Sanderson’s option) when we are in receipt of the funds. These loan facilities have provided us with the funding to complete the integrated bankable feasibility study on the project without reverting to placings which would be only available at signi cant discounts to our share price which, disappointingly, is still not at a level commensurate with the value in our projects

So funds used to close IFBS.
Mr Chimp there is the detail of when payment due back

Thing is IFBS done. Inference the cash has now gone. Of course there looks to be a ramp to get the share price up for next placing/or suppression to ensure share allocation more profitable.
Either way cash call, maybe use AGM to pass new share issue?

I wonder if the crew behind the attempt to keep Kibo down is now pumping the NCCL share. Did it a short time ago, pumped it up to 8p before getting out before the bad news was published.Same posters on both boards. Now would be a good time for some news LC.
