If it gets low enough Sagi can take it private very cheaply then refloat in a couple of years or so. Great for him but pi's shafted. Same model as Talktalk and Dunstone.

The omens were in the last shareholder presentation when management talked of forward GP margin that was way ahead of market expectations and yet the share price dropped back. Clear sell sign to me (which is when I sold).

Seems like a sensible placing to me, assuming the price is right. They needed to pay the deferred consideration to the PIA founders so rather than give them shares and them sell them, just place the shares with IIs and then pay the PIA people cash

I started voicing concern here about 6 months ago when the share price couldn’t hold onto its undoubtedly merited gains. The falls from 216 to 175 and then 236 to 150 show this very well. I still have all my shares but this was a long time in the making and the reason that those in the know unloaded into strength. C’est la vie.

The placing is constructed to get PIA founders out at a share price of c 145p including deferred consideration.
Dilution is softened by c11m shares going into Treasury and almost all being cancelled.
Sagi is effectively underwriting placing by committing to subscribe for c72% of the placing.
Kim is staying on as executive in PIA and Kape now have total control of PIA plus $28m plus untapped banking lines for acquisitions not to mention $50 in tax savings over 15 years .
Smart move
More corporate action imminent in this high growth space as home working is here to stay with Covid.
Expect Placing to be oversubscribed and major growth in years to come

Management are top class so hold and be patient imho.

It was clear that the company in current position ie $35-38m ebitda, was trading too cheaply.....so the management have been shopping around to get some cash in....they have asked investors at what level they would be prepared to throw cash at this......guess tomorrow we'll find out

@waterloo1 I agree. They are raising $72 mill for a $50 mill tax saving over 15 years. Doesn't seem a great deal and surely that money would be better spent towards an acquisition

Selling this by the tax saving is a bit of a flag. Biggest holders want an exit and the II's will want their pound of flesh and no doubt a quick flip for most.
