No doubt there are more deals being made.
How else do you expect the next load of II's will get on board at a discount!

I am willing to bet that even though we will be throwing off cash the board will find a way of wrangling another placing to the next load of II's that tell Leon to jump.

for those newbies who think this is a little bitter.
It seems to be rinse and repeat when JLP are involved.

I remember the days of Colin saying "once DCM is up and running we will be looking at organic growth"
years and millions of shares later and we are finally at the organic growth phase (on paper) Yet they still manage to issue shares!

I am suprised to be saying this after the last few month progress but

SHAME ON YOU COLIN AND LEON!

Project loan

Jubilee also, through its wholly owned subsidiary Braemore Holdings (Mauritius) Pty Ltd, successfully secured debt funding of GBP6.11 million (US$8 million) from ACAM LP (“ACAM”), ACAM is an affiliate of two sophisticated investors based in London and New York. The funding is secured over Jubilee’s Zambian assets, bears interest at 12 per cent per annum and is repayable in full 36 months from the date of execution of the funding agreement.

At any time that the loan is outstanding, ACAM may at its absolute discretion, by conversion notice, elect to convert the loan and all accrued but unpaid interest into 5 per cent unsecured convertible loan notes with a conversion price of 2.81 pence (ZAR 53.98 cents) (“Subscription Price”) and a maturity date which falls on the third anniversary of the Closing Date.

During the loan period, Jubilee may notify ACAM of its intention to prepay the whole of the loan balance by prepayment notice. On the date of any prepayment Jubilee will issue warrants to ACAM to a value equal to 50 per cent of the amount of the loan and all accrued but unpaid interest thereon divided by the Subscription Price.

Jubilee and ACAM have agreed to work together, without obligation from either party, to explore funding solutions for future expansion projects outside of South Africa as opportunities arise.

I'm wondering if the 'international' element is Leinster Nickel in Oz? That would be huge...

This is a smart move by CB and LC. It's not more dilution as noted by JohnBull1 and Billiboyfromiii and a few others. It's simply brought forward conversion of debt that would otherwise have happened later.

The fully diluted share count remains the same at about 2.4-2.5bn - this is the figure to use in any EPS calculations, not the number of shares that happen to be in issue now. The wording of the RNS isn't great, though: at an initial read it looks like more cash raising dilution.

It strenthens the share register and shows that serious II's think there's plenty of upside from here. Can only be good news. (Also shows that CB is a very sharp dealmaker, even amongst his colleagues!)

Would not be at all surprised if that were to be the case.

I would rather blue chip IIs buy the share than traders or the financers...it means they won't be dumping them anytime soon.

'
But why should they not buy in the open market pushing the price up?'

And the loan company and directors sell, thereby pushing the price down >

deme, you just answered your own question re. "why should they not buy in the open market pushing the price up?"

Because they would have to pay a lot more to get the shares they want. Not many II's buy in the open market for that reason. They would only buy in open market if the share price wouldn't move much on the volume of shares they want.

"This does not feel right.I think 13p is a ceiling not a floor. If the shares are just options and warrants why would the ii,s buy them unless they are market makers?" I have no idea what you are talking about..? It was announced that 2 institutional investors have INVESTED in JLP at 13p...how can that possibly be a ceiling... 🤣

But why should they not buy in the open market pushing the price up?

We had to buy in the open market, when the risk factor was much higher.

It's understandable when we needed the money. But there is no excuse for it now! IMO

re sb..totally agree..we broke out of the 6p range up to 13p just 2 months ago..the share price has been going sideways since 30th dec...ebbing in and around 13p..this is definitely not a discount..they desperately wanted in.they paid top dollar to get in.they will triple there money come end of 2021

It was a small discount to last week price which was slightly over 13p. I think they did that as it as almost impossible to buy more shares without significantly rerating. Next week on Monday morning is a new presentation and new investors will be adding here.

Well... The price has been bouncing between 12.8 and 13.5 for the last couple of weeks... Personally I don't see 13p as a discount.. 11p would have been a discount...
