FCA approval of the Change of Control in accordance with section 185 of the FSMA

On 26 October 2021, the boards of Ince and Arden announced that they had reached agreement on the terms of a recommended all share offer by Ince for the entire issued and to be issued share capital of Arden (the "Acquisition"), to be effected by means of a court-sanctioned scheme of arrangement under Part 26 of the Companies Act 2006 (the "Scheme").

A document containing full details of the terms and conditions of the Scheme and the Acquisition (the "Scheme Document") was published on 20 December 2021. Capitalised terms used but not otherwise defined in this announcement have the meanings given to them in the Scheme Document.

On 19 January 2022, Arden announced that, at the Court Meeting and the General Meeting convened for that date in connection with the Scheme, all resolutions proposed were passed by the requisite majorities.

FCA approval of the Change of Control

Following the approval of the resolutions at the Court Meeting and the General Meeting, completion of the Scheme and the Acquisition remained subject to the satisfaction or (where applicable) waiver of the remaining Conditions, as set out in the Scheme Document. These included the approval by the FCA of the Change of Control in accordance with section 185 of the FSMA; the London Stock Exchange determining that, following the Change of Control, Arden remains eligible to act as a Nominated Adviser in accordance with the AIM Rules for Nominated Advisers; and the sanction of the Scheme by the Court.

Arden announces that on 20 January 2022, it received approval from the FCA of the Change of Control in accordance with section 185 of the FSMA, which remains effective subject to completion of the Acquisition within 3 months from 20 January 2022, after which an extension will need to be requested.

A Court hearing to sanction the Scheme will be arranged once the remaining Conditions have been satisfied or (where applicable) waived.

Effective Date and Timetable

The current expected timetable of principal events for the implementation of the Scheme remains as set out in the Scheme Document and in the announcement released by Arden on 19 January 2022.

It would be logical to assume that the LSE approval for the NOMAD change of control was not sort until the outcome of the Arden shareholder vote was known but one would think it must be due soon.

The Company operates through two business segments: legal & professional services and independent financial advisory services. The Company’s services include corporate & commercial, private wealth, commercial property, litigation & dispute resolution, betting & gaming, residential property, divorce & relationship breakdown, mediation, and wills & succession planning. Current market cap is around £48m.

INCE today provided a decent set of results for FY21. Revenues at £100.2m were up 4% on the year despite headwinds from COVID and topped the £100m mark for the first time ever. There was strong double-digit growth in EMEA and Asia, the UK was weaker particularly in disputes as some insolvency laws suspended and access to Courts restricted. But the UK is expected to return to growth in FY22....

Only two conditions left now, the court sanctioning of the scheme is a formality, so that just leaves the LSEs approval that Arden can remain a NOMAD after the change of control as the only live condition. I find it hard to imagine why that would not be approved as the key personal at Arden remain unchanged.

I am looking forward to the market focus moving beyond the takeover.

I hope INCE have a better understanding of the FCA regulatory hoops than they did of the Nomad rules which forced suspension of trading in shares back in November !

I don't have a detailed understanding of what regulatory hoops that we need to jump through to get FCA approval. However, one would think, given some of the shady characters the FCA seem happy to provide a stamp of approval to and that Ince is long established in a regulated industry, it would be a surprise if this was not forthcoming.

Law company. And actually have to stick to the law. Potential embarrassment if this continues to fall. Don’t see anything beyond an increase in share price at these levels. Ridiculous actually.
