Result of Annual General Meeting and Further re Share Consolidation

Imaginatik plc (AIM: IMTK.L), the world's first full service innovation provider offering a range of technology products and consultancy, is pleased to announce that at its annual general meeting held earlier today, all resolutions were duly passed.

Accordingly, the proposed share consolidation of the Company's share capital ("Share Capital Reorganisation") will become effective on the record date, being 5.00 p.m. today, 14 August 2014.

Under the Share Capital Reorganisation every 80 existing ordinary shares of 0.0625 pence each will be consolidated into one new ordinary share of 5 pence each ("New Ordinary Shares"), with any fractional entitlements arising from the Share Capital Reorganisation being aggregated and sold in the market on behalf of the relevant shareholders. The rights attaching to the New Ordinary Shares will be identical in all respects to those of the existing ordinary shares.

Application has been made for the 61,745,005 New Ordinary Shares to be admitted to trading on AIM ("Admission") and dealings are expected to commence at 8.00 a.m. on 15 August 2014 with ISIN GB00BP8XY588.

Following the Share Capital Reorganisation there will be 61,745,005 New Ordinary Shares in issue. The Company does not hold any shares in treasury. Therefore the total number of shares with voting rights in the Company following Admission will be 61,745,005. This figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company.

The Board believes that the Share Capital Reorganisation will result in a more appropriate number of shares in issue for a company of Imaginatik's size on AIM. The Share Capital Reorganisation may also help to make the Ordinary Shares more attractive to investors and may result in a narrowing of the bid/offer spread, thereby improving liquidity.

I've added yesterday and will continue to do so. The company has made it very clear that no issue of equity is planned, their sales pipeline has never been higher (6.5 million April 2014 versus 3.6 million April 2013), last issue of equity in may 2014 (1.26 million) was at 0.007p (a premium to the share price).
In march and April 2014 they reported contract wins.
The company is a recognised leader in their market.

So, yes I'll be buying, current market capitalisation of 2-3 million is ridiculous.

Looks OK to me, at a more honest price too. Keeps them going for a the best part of the year. and reduces any threat of further fund raise in the mid term In the mean time they can continue their strike rate of new contracts and extensions. Beginning to take off imo.

Diamond, I guess theyre looking to double their money at some point ,,, at least.

I'm a fan of this business but my concern of any business that only seems to have funding for a few months is that it must limit its ability to attract customers. The board need to put funding in place that will support the business to the point it is cash generative.Dyor

More new longterm contracts. With that blue chip "visability" I think they could even start looking for longterm funding now from a traditional lender. Longterm contracts should allow them to do a cashflow forcast to present to the banks.

Many directors have taken up options, so I doubt they want to dilute their holding.

Expect more contracts too once the new sales force gets up to speed.

Looks promising.

I fear that the reason is that the RNS is infuriatingly non-specific. How much revenue is involved? How long are the contracts? What are the incremental costs?

I remember when COMS popped - they brought out a detailed RNS which told you they'd secured revenue in excess of their market valuation and the predictable happened. Later they released an RNS that they had been accepted onto the government system for procurement - a huge opportunity - market didn't move at all. Why? My guess is no specifics.

Stick the figures in there so that people can see that the company is clearly undervalued and the price will rise ...
