Attended the AGM yesterday and a number of points were aired. The Chairman who has driven the Company forward over the last 11 years has now become non-executive and will retire from the Board at the end of 2009.I was expecting an announcement regarding the appointment of a new chairman yesterday but none was forthcoming.I perhaps expect the new non-exec will move up in due course.

The biggest threat is the large overhang of debt £141m currently but £150m is not due for renewal until 2012. Although this is some way off, there are repayments due of some £30m in the next 18 months (by the end of 2010).

It is clear that the new divisional groupings emphasise the future growth markets rather than the old companies which emphasised galvanising and crash barriers.

A question was asked about the dividend being increased by more than the 14% in the current year as all the other numbers increased between 23 and 28%.The Chairman said the dividend policy was to be cautious with cover being 3 times as the Company was considerably leveraged ( although this has declined considerably since the takeover of Ash & Lacy some years ago.)

I think it is a well managed Company but it will do best when strong economic growth returns to being the normal.

kind regards
Linhur
