I guess no one is going to the AGM

I expect the most important thing to look for in the TU will be the performance of Kili. The expectation is that they are going to turn a loss of £1.1m into a profit of £0.7m this year. This would push GDP over £3m profit for the year.

In order to achieve this I reckon they need to be hitting something over 1500ozs at Kili this quarter.

There will also be news on the Ghana elution column. Hopefully it is pretty near completion. The pictures in the AR would suggest it isn't far off.

Once completed this should help profitability but also cash by reducing the length of the pipeline.

I suspect though that the big thing this year could be the project with the Ghana government to clear up the mercury. It clearly has the potential to be bigger than everything else combined, so any update on progress would be welcome.

Fintech Gold Update - Goldbloc

Highlights

· Goldbloc aims to provide the convenience and utility of a fiat currency bank account, but representing direct ownership of physical gold by the Goldbloc holder.

Possible distressed situation with one of their assets.

The Company announced in January 2017 that, at the current stage, the Galaxy Property does not generate positive cash flows and further capital expenditures are required to complete the full commissioning. Mupane continues to generate positive operating cash flows; however, at the current gold price it is insufficient to fully fund commissioning at the Galaxy Property. With the decline in gold price in November 2016 and the continued uncertainty of the price of gold, management of the Company has decided to be prudent and delay full commissioning at the Galaxy Property until the Company has sufficient funds available.
The Company will continue to review this decision and work has already commenced on an expansion plan to take annual production up to 60,000 ounces of gold. It is currently envisaged that the Company will commence a desktop study first, the results of which will then be used to support a pre-feasibility study to be completed within two years

Well there is central rand but I would touch it with a bargepole. Then there is Matala which is a 30kozs opportunity, if ALO are selling.

I suspect they would as they need cash desperatley.

I think Gerard spoke of the 10p price because that would allow a £5m raise under existing authority.

He is looking for a distressed seller. Someone that has a producing mine and needs to sell it to raise cash. A non core asset preferably, which someone will let go of cheaply, as they need cash to support their main business.

question is where?

I don't think that they are going to issue any shares at 6p. Indeed if they are going to produce £3-4m profits this year then the share price is going to be around 15p if it is still on a p/e of 7.

Indeed the more success the company has, and the greater the disparity of from this with the SP, the more difficult it is to have an equity fundraising.

Gerard has said about getting a 50kozs set up in one go is the best option. However to me it may be better to go for something bitesize producing perhaps something similar to Kili at 10kozs, and avoid an equity fundraise.

thinking about it kb, yes, I think it is. I hadn't looked at those types of resolutions for some time.

I forgot about the words "nominal amount" in the text. That would be 50m shares and at todays price of say 6p, they could raise £3m.

So, if Gerard and co wanted to buy a bit of kit and didn't have the cash, they could issue shares through a private placement, which usually means a broker or in some companies cases, a bucket shop, upto £500k in one hit, as shareholders have agreed to this by voting on the resolution.

If Gerard wanted to issue shares which exceeded the £500k authority to buy into a mine or anything else, he would need to put it to shareholder approval iirc

Exactly the same as resolutions 5 and 6 from last years agm.

pretty standard stuff on a lot of agm statements. The only thing that is usually different is the amounts quoted, as they can be specific to the company.

As a voting shareholder you are simply renewing the authorisation of the BOD to have the power to allot shares etc upto the amount indicated and the way in which they are supposed to approach rights issues and fractional holdings.

If they wish to allot securities over the total amount of £500k, they will need to seek further authority from shareholders iirc
