Yeah I finally got a mail from Degiro saying there was a takeover offer at 70p. Nothing since then and nothing in the app itself, so just waiting now. Fusionex investor relations emailed to say there was already sufficient interest that the deal would go through so I think we’re all going to get cash @ 70p/share. No idea how long it’ll take though

That is strange. It does imply they were already acquired. But I think we’d know as shareholders if that had happened.

DEGIRO got back to me and told me they’ve had no notice of a current takeover offer. Seems very strange, does anyone have a similar situation?

I'm confused. Please do a Google search for "Fusionex Hitachi deal" Maybe you know about this and can help explain what's happened and why it's not Hitachi offering to buy our shares? Thanks

Ripped off by Teh. Unfortunately there's no way to organise any kind of resistance and it'll go through on the nod. Teh gets a big chunk of change, a new contract with NewCo, share options etc., no wonder the offer is endorsed by the board. He should hang his head in shame. He personally destroyed the wealth of shareholders when he spat his dummy out and delisted Fusionex against the advice of many including his then Chairman. He couldn't relist - he claims - after several attempts which is not surprising really because he already screwed one set of shareholders so who in their right mind would back him again. No recourse just another disgraceful chapter demonstrating lack of integrity and dodgy moral values.

The offer deadline moved forward! Sounds familiar as they did the same when they took it off market
For what it’s worth I’ve accepted as I don’t see another way out!

The offer deadline has been moved forward to 02nd August 2021. Looks like a done deal if they have 90%+ acceptances. I'll be hanging on to mine until it's a forced compulsory purchase.

I received my corporate action via my broker today. I dont want to sell my shares for 70p either. But....
As stated earlier, if they get 90% acceptance from Fusionex shareholders, then they can acquire the rest.
I have until August 5th to decide.

FUSIONEX INTL - Take-Over
Recommended Cash Offer by Horyzon Assets LTD (Horyzon).

70 pence for each Fusionex International plc (Fusionex) Ordinary share held.

You Have The Following Option:

1 Accept the Offer on your holding of xxxx FUSIONEX INTL ORD NPV shares.

We will process your instruction on or after 05 August 2021 23:59 and your election will be applied to your holding at this time. If you elect to accept the Offer, your shares will not be available for you to sell, or to accept any other Offer unless this Offer lapses. Please note that if you accept the Offer and proceed to sell your shares, you may be liable to buy back costs.
Important Information & Other Key Dates:

On 19th July 2021, the Boards of Horyzon and Fusionex have announced that they have agreed the terms of a recommended cash offer by Horyzon in whiich Horyzon will acquire the entire issued share capital of Fusionex which it does not already own.

If Horyzon receives acceptances under the Offer in respect of, or otherwise acquires 90 percent or more of the Fusionex shares and assuming that all of the other conditions of the Offer have been satisfied or waived, Horyzon intends to exercise its right to acquire compulsorily the remaining Fusionex shares on the same terms as the Offer.

Please be aware that should you choose to accept the Offer, it is not yet known when the cash proceeds are expected to be received. We will, however, update your account accordingly once the entitlements have been credited.

If you wish to accept the Offer, please do so as soon as possible as the Offer may not be extended.

Before making any decision please take into consideration all relevant factors of the event including the current share price and any possible tax implications. If you require any further information in making your decision please contact an appropriate professional advisor.

Should you choose not to accept the Offer at this time, we will contact you again if the Offer is extended, the terms of the Offer change, the stock is compulsorily acquired or if we are notified that the Offer is closing.

Please be aware that if you make your election by post your election must reach us by no later than 5th August 2021. Any elections received after this date will not be accepted. Looks this is prearranged already and the 90%booked in. Looks like major chunk of the shares are given to this II via "takeover".
I dont see any reason to fight that they want to gobble up the few remaining shareholders. I dont see further alternative.
I take this scam deal and move over elsewhere where my money can actually grow.

They are trying to push us into 90 percent acceptance. If we don't agree to sell now there is no guarantee of any future buyer but there could possibly be a private equity investment company interested in the future. Very difficult for us to know but my current thought is I'm not willing to sell at 70p

Thank you. We have managed to trace your holding.

In summary, the company received an offer for the acquisition of all shares and this offer was notified to all registered holders including your broker on 19 July 2021. The offer price may be obtained from your broker.

Should the company receive acceptance of the offer from shareholders holding in aggregate 90% (9/10ths) or more of the company’s shares, the offer becomes unconditional and the remaining shares will be compulsorily acquired in due course.

It has been mentioned in the notification issued on 19 July 2021 to your broker that shareholders holding more than 90% of the shares of the company will be accepting the offer, and indeed the company has as at to date already received the signed acceptance forms amounting to more than 90%.

Hence it is our recommendation that you instruct your broker to accept the offer on your behalf soonest in order to facilitate a faster receipt of the consideration amount payable to you for the shares that you hold.

My understanding is it’s an all share offer, so if they acquire over 90% of the shares the remaining 10% will also automatically be sold at the offer price.

I just had a response from investor relations that said they’ve already exceeded the 90% threshold, so it sounds like all shares will be acquired at 70p. Unless I’m misunderstanding something or my info was wrong.

But yes I agree, if they’re buying for 70p it suggests they’re worth more. So that sucks if it’s the case that we have to sell.

Do any of you know what happens if we just hold on to our shares?

My understanding is the buyer (Horyzon Assets I believe?) would acquire the shares that people agree to sell, and assuming they get 51% they obtain full control.

But what would happen to the shares of any shareholders that do not accept the offer?
