Well, I took about £10k before close in a couple of slots. Admit to knowing nothing much of the co. Apart from a 10 minute swift read up prior to buying.Purely a buy & sell for me but happy to hold longer if the price reacts favourably. GL all.

Fox Marble – Eco Buildings Group reverse takeover, eventually, moving ahead - STRONG BUY

Fox Marble (FOX) has, eventually, announced further details of its proposed Eco Buildings Group reverse takeover along with a proposed further £2.7 million of equity issuance at 55p per share. Exciting times ahead?

The pricing is with a prospective effectively 1 for 50.7 share consolidation, with the acquisition consideration an all-share £30 million and the prospective market cap £38.5 million, with the £2.7 million placing funds “to provide growth finance and working capital”.

Eco Buildings has a prefabricated modular offering which is up to 50% cheaper, two-thirds lighter and five times faster to build than conventionally built homes and its management has utilised its network in the Balkans to initially secure two contracts that are expected to generate sales revenue of up to €114 million for the first three years following admission. It is added that “Fox Marble's existing building products and operations should deliver revenue synergies when combined with Eco Buildings”.

There are clear risks at this stage, including the proposals still to be formally approved and then delivery of the noted revenue-generating activity profitably including with significant boardroom change. However, we’ve already noted multi-million pound profit potential soon after a year and potentially much more on the international expansion.

As such, we suggest this is currently attractive on a risk/reward basis even before considering the potential from a €195 million arbitration case against the Republic of Kosovo for current Fox Marble shareholders. Therefore, the stance is STRONG BUY at up to a post-consolidation 60p. For we existing shareholders this could be - with the arbitration - a massive multibagger. For new entrants we still see the potential for a 150p+ share price.

I believe the litigation proceeds will be segregated for pre-RTO FOX shareholders, victoria - one way might be through some kind of a Special Purpose Vehicle in which you would receive special shares, like 'stub equty' - but you should check with whatever firm holds your shares currently, and have them try and communicate with Fox. The good news is that you have almost a month before the conversion to Eco shares to find out

Not sure from the RNS today what mechanism will be used to ensure that the proceeds of any successful litigation against the Kosovan authorities will be reserved for the current shareholders in FOX, as I think was promised by the FOX Board last year at the time when the RTO was first mentioned. Grateful for confirmation that this remains the intention.

And I forgot to highlight this, which was already revealed in Friday's RNS, but is potentially the most significant news thus far, in that it would represent even higher quality revenue in that all the execution risk would be with the customer as well as that customer being in the UK rather than (again) the Balkans: '....In addition to the order book above the Enlarged Group has entered into a licencing arrangement with a UK Company who will pay a 30% gross revenue royalty to the Enlarged Group for use of its GFRG technology....' Needless to say, the equity market looooves royalty revenues when they become reliable.

And this is perhaps the best example of just how up your own butthole your anger-fuelled ignorance has gotten you: All I did to provoke it was to observe, after a long period of being suspended at 1p and 4m quid market cap, minimal daily turnover, no research and a core business, after a long period of disappointing results, further pressured by COVID and rising interest rates, this Newco will emerge as a genuine vertically integrated supplier of building materials with an up and ready production facility and a vetted E114m of business over the next 3 years to potentially fulfil, while using the legacy business's marble in its product. Yes, we go from 100% of the old company to 10% of the Newco, but to my eye, the Newco has the kind of potential that FOX did not and that is a reason to hope. That's it, but it was all that was necessary to get you out of your cave making sht up and screaming about trivia. And for what exactly? Because I embarrassed you? Poor dear.
