Escape Hunt (EH) to be renamed XP Factory (XP) has announced the proposed acquisition of Boom Battle Bar (Boom) from MFT Capital, subject to shareholder approval at a general meeting to be held on 22 November 2021 and will become a leading player in the UK’s fast-growing experiential leisure market. It will combine a nascent competitive socialising bar concept, Boom (6 sites) with EH’s escape rooms (15 UK sites). Key attractions of the deal is the advanced pipeline of 21 new sites and using MFT’s site-finding acumen to underpin growth and plans to co-locate the two concepts such as at Lakeside. With the weak retail property market backdrop, XP can treble the UK portfolio of units from the current 21 in a capital-efficient way with landlord contributions. The transaction is expected to be significantly earnings accretive and lead XP to be profitable in H1 2022. We forecast the group will generate c.£43m of annualised revenue and c.£9m of annualised pre-IFRS 16 adj. EBITDA in 2023. HOUSE STOCK

Potential to more than double in value if rollouts executed according to plan – Our investment case is that the value of the enlarged group will more than double by executing the forecast site-opening, leading to a 2023 run-rate of c.£43m of revenue and c.£9m of pre-IFRS adj. EBITDA. As already highlighted, these are both predicated on revenues and EBITDA margins in each of the units across the two formats being static over the three years. While there is more history for Escape Hunt to support our view that our revenue forecasts will prove conservative, there is more limited data for Boom, given the periods in which trading has been impacted by the imposition of various lockdowns since the first two sites opened last year. However, we are most encouraged that trading since the re-opening on 17 May 2021 has been ahead of management expectation, which we consider does provide some evidence that the £1.6m annual revenues per site which we are forecasting could prove very conservative when averaged across the estate.
