09/5/2019 10:14 | Considering that we may be leaving the AIM cesspit shortly and going private, any selling seems to have dried up. Maybe faithful holders will be rewarded by the resolutions being rejected and possibly with an interested third party willing to take on the listing shell at a cheap rate along with the assets at a knock-down price allowing these to be sold off. If any private company is seriously at this time thinking of listing, why not save all the hassle (and costs) by simply taking this lot over? Market cap at the moment £ 854K, for that you will get whatever cash is leftover from last year's placing, you will have a £ 300K loan due from Virtualstock (at 10% per annum interest), and you will have investments in all the investee companies. After, all per the last accounts these were valued circa £ 6million + and Zaf is on record stating that the valuation methods was at a historic conservative valuations and did not take into account progress made since these valuations. | belt n braces | |

I am being prudent and cutting around half but Schuster has an excellent previous track record. Therefore if only say 50% of those entitled to vote either turn up at the meeting or vote by proxy, the 12 odd percent already gained itself may be sufficient to stop the motion? Thinking about this scenario, we all invested in a company listed on the stock exchange, not a private company. In my view, it is the failure of the management if they cannot make the listed company work. Also if Rizzs, Zaf and Monson are in cahoots to try and take this private, then in my view as between them they have over 30% of the company, they should be offering to buy out all remaining shareholders at a price of 25p, being the price Monson paid in the last 12 months (it would be interesting what legal advice would say on that). Further there does appear to be a link with Crowd for Angels and the Align people. We may not have heard the last of them (Crowd for Angles not pleased with going private and Align making the offer). Was Zaf supposed to be 'nurturing' the investee companies, well if so the nurturing does not appear to be working with Crowd for Angels. As has been said on these boards in the past, but possibly now really relevant, there is likely plenty going on behind the scenes. | belt n braces | |

08/5/2019 11:40 | Dear shareholder We note the RNS of 30 April 2019 in which the Board of Eight Peaks propose to delist the shares subject to approval at the forthcoming (and hastily convened) EGM on 16 May 2019. We have made a proposal to the Board as follows: 1. Align is prepared to invest £175,000 into the company at a price of 2.5p per share 2. Conditional on the investment by us into the company we ask for the resignation of Mr Monson and Mr Karim 3. The appointment to the Board upon receipt of the funds by us of Scott Richardson Brown as Non Exec Chairman (on a nominal salary) 4. Cancellation of the EGM proposing the delisting of the shares Our plan would hive off the current portfolio into a private limited company (and invite shareholder representation to the Board of this vehicle) and a distribution in-specie be made to shareholders of this new Limited company. Cash remuneration here would be nominal. Depending upon our review of these assets, those worthy of investment/support we would actively pursue financing avenues. The Plc would be left as a cash shell and current going rates for a cash shell are approx £500k (hence our investment price proposal). To lose this Plc status and the value of the cash shell seems madness to us on the part of the Board and the new management would proactively look for a value enhancing deal on the near horizon to attempt to restore shareholder value to the Group’s long suffering shareholders. We thus urge all shareholders to contact management and the Nomad ref our plan if they support it as well as voting AGAINST the forthcoming delist proposals.
