No surprise there then, so hopefully the 75% will not be achieved at the AGM.

I said after the last placing Zaf Karim would run for the hills. He's milked this for all it's worth. Definitely doesn't want an investigation.

Your on the money there Kemche. If the assets have no intrinsic value and Zaf was taking millions of shares in options in lieu of salary prior to the share reorganisation and then selling them on to naive shareholders whom have lost loads of money, he could be accused of fraud and deception. Could that really be the reason why he wants to take the Company private ? Oh I forgot, he claims the reason he wants to take it private is because the number of shares being traded daily is reduced to almost nowt ( and the cost of being listed on aim). A cynic may claim this is just a cover because the value of his options are worth mince because of the collapse of the share price caused by his own poor investment decisions, and now he wants to cut and run. Personally I think the FCA should investigate.

Also Zaf and Monson have a legal duty to consider the align proposal and if this is deemed in the best interest of shareholders to act on it. At the very least (taking into account they presently appear to be willing to give up a listing for nothing), they should tell the market the reasons they have for refusing the proposal, if indeed this is what they decide to do.

That is an interesting note, and if followed through makes a lot of sense. However, to get rid of Zaf and Monson will likely come at a cost, from memory and per the last set of accounts, Zaf would be due a termination payment if he were to agree to go. Beyond that though, the note makes sense to me at least. I for one would back it.

(Although present shareholders will be further diluted, but this in my view would be offset by whatever can be achieved by selling off the listing and saved annually on directors fees, etc).

Richie, they will only allow the proposal IF you promise not to look under the bonnet.
I think everyone knows that most of the "investments" are no such thing at all and this is simply a vehicle for Zaf to sustain a lifestyle.

AIMHO of course.

Only a few gullibles bought into it.

You are wrong.

I attended the last AGM. This was actioned via AJ Bell, who gave me a letter stating I could attend as a shareholder.

Regarding the voting this time. I received notification from both A J Bell and Interactive Investors asking me how I wished my shareholding (they quoted my amounts) to be voted on. I have duly sent these forms on and will expect these votes to be properly allocated at the general meeting. Also the memorandum and articles of association require to be changed and this required approval of 75% of shareholders.

I suspect "they" are mopping up the sells at the moment.
Also I would not be surprised if "they" offered 5p (or thereabouts) for several weeks to allow small PIs to sell.

Sad times, I have held shares in this company for decades, and I really believed with all the positive comment about VS that after all it would all come good. Sometimes you win sometimes you lose. I think the aim market is a dangerous place. This is my only remaining aim investment and last ever investment on aim. I have never held shares in a private company so haven't a clue. Anyway it might not come to that. Has anyone any ideas of what will happen if the vote is against the proposal?

Only “members”; listed on the share register of the company are guaranteed the right to attend any G.M. and vote on resolutions.

These are those who hold their shares in either paper certificate form or are “Personal Crest Members”.

Those who hold shares in a nominee account will not be on the share register and are not a “member” of the company; only the “beneficial owner” of the shares.

The shares held in a nominee account are typically “pooled” and there will be one entry in the register for all of them - in the stockbroker’s name.

The company will therefore not know you nor recognise you as a shareholder.

They will definitely not allow you to vote directly and can bar you from attending or speaking at GMs.

Well I have only realised when my broker sent me the voting forms that massive changes are proposed by Zaf.
Like most of us nursing massive loss on this stock.I dont normally get to stressed about losing money on the stock market (you make decisions that you sometimes regret sometimes applaud)
But something about this company leaves
a very bad taste. I suspected some time ago that this would be the final outcome of the constantly falling share price. I did think of selling, but this is a pointless exercise as it would be for peanuts. I will vote against this plan and hopefully we can defeat it. I think we have nothing to lose.
