The other shareholders of Arqiva are not in any predicament! IMO, it's a reasonable business which may well come good in the medium / long term.
The trouble is DGI9 should never have invested in Arquiva when they did for the amount they paid for the reasons they did. And the result of the investment manager's mistake here is the forced sale of "the crown jewel" Verne for less than it is really worth, exit from the FTSE 250, and a collapse in both market confidence and the share price.
That said, I still hold this selling has gone too far, and that there is hard value in this trust at this price.

Just realised that all the other Arqiva shareholders are Australian and except for Macquarie (who are no fools), are giant pension funds. So long term and likely supportive. But is that of any benefit for DGI9?

Honestly far better they had over the wind down to someone else That someone else can then TUPE accross any employees who can add value But at least we would have clean hands and grown ups in the room

Also it’s very important at the Webinar to ask about compensation for your losses as a shareholder if there are circumstances that weren’t originally explained to you. Also shareholders should request affirmation that assets will only be sold in a bull market and not in the middle of a recession.

If they ask you your opinion about liquidation make sure you tell them that you want no one other than shareholders to benefit. No commissions involving outside parties.

The Board of Digital 9 Infrastructure plc (ticker: DGI9), announces that a shareholder webinar will be held on Monday 5 February 2024 at 12.00pm and will be hosted by Charlotte Valeur, Interim Chair, and the Board. This webinar follows the conclusion of the Strategic Review, proposed change to D9's Investment Policy and other Company updates announcement released on 29 January 2024.

 

The webinar is open to all existing shareholders. Questions can be submitted pre-event by emailing: chair@d9board.com up to 5.00pm on Sunday 4 February 2024. All queries should be submitted in advance of the event to the aforementioned email address.

They'd need to get rid of the VLN but the "looking to capital markets solutions" suggests that something like that is an option Not having control and the management in the listed vehicle would make it tricky/sub-optimal Macq could play ball but I expect if they want out too then a sale of the whole to a private infra fund would be the better option

They could sell off everything in DGI9 except Arqiva but they only own half of it and so they'd have to sort the other half or else it would be an odd vehicle owning only half of Arqiva. Also the VLN would sort of confuse the listing too. Would be better if Maquarie just took their 48% off them and wind the whole thing up.

Why do they need to do that can't they us the existing listed vehicle and give Aquiva shareholders a stake in that in due course.

DGI9 bought 48% for £500m - posted profit before tax year ending 30th June 2023 = £194 million up 88% and NAV of £3.3 Billion according to the filings last year.

Makes sense to IPO Arquiva and have it replace DGI9 in the FTSE250.

The VLN is an asset if there's no change of control and they can pass it on to a purchaser But clearly Acquiva is worth less than DGI paid for it - but that's in the share price and my 55-60p realisation target

I know but does the buyer really want to chip them a few % and risk the deal closing. They don't know if DGI9 have another buyer lined up. Iceland is the perfect place for data centre (bar the volcano risk). Cheap green electricity and if you want the servers cooled open the window :-)

There is massive and growing demand for compute power so I'm not that worried about it at all. Far better for the Frenchies to just close and get on with their business.

Arq is much more of a worry to me. It's on a very big EBITDA/EV multiple but then again this is down to the inflation hedge and the VLN to some extent.

Yep - I was sceptical - but it's not subject to DD - it's still subject to a last minute chip on basis of Iceland (as the excuse) - but even then it's likely they'd chip the earn out - and that's got v little value in eyes of the market
