To me the talk of a £12.5m acquisition is a negative. The BoD has failed miserably to add share holder value. I wonder what jaunt they will be off on with £12.5m. Oh, then there is the massive dilution to look forward to. Hat off to the BoD. They are legend.

CYAN has spent about 13 years getting to the point where their technology is commericially viable. The £10m Iran order marked the transistion from a R&D company to one that is due to grow pretty quick.

The very fact that we are able to contemplate a £12.5m fundraising is a massive vote of confidence. To me this is a very positive development.

The £12.5m is for an acquisition and for working capital. I would hazard a guess and say £5-7m for the acquisition and rest working capital.

Again a guess, that the placement will be higher than the "leaked" 0.21p...my guess is 0.23-24p.

Acquisition target may be outside the UK. Given India is at the forefront of so many pilots, I won't be surprised if our target company is out there.

Interesting times, though we may have to wait a while as this "forced" RNS was not part of the plan.

£12.5m for an acquisition?!! WTF?!! They have not delivered shareholder value at Cyan but anyone would think it was job done. How on earth they have the luxury of time to fanny around on potential acquisitions beggars belief. It would be like anyone rolling up to bank manager after less than successful business venture and saying "you can trust me with your £12.5m".

"Thank you. Close the door on your way out."

The Board of Cyan Holdings plc notes recent press speculation and confirms that it is considering its financing options to raise approximately £12.5 million to be used for a potential acquisition and for working capital purposes (the "Potential Transaction"), although the terms of any potential placing have not yet been agreed.

The Potential Transaction, if it were to proceed, would be classified as a substantial transaction for the purposes of the AIM Rules for Companies.

A further announcement will be made in due course, as appropriate.

What price the acquisition and what will it bring ?

If there is a decent amount for working capital, could it indicate more near term orders and having the financial capability to deal with them ?

On Iran alone, it's almost 4 months since the initial £67k (2k units) order with Micromodje and 2 months since the £10m order (360k units) with Micromodje.

First 2k units = average £33.50/unit.
Volume 360k units = £27.77/unit.

"Cyan has started a dialogue with Micromodje on the next planned rollout of 1 million units, leading to the overall Iran market requirement of 33 million smart electricity meters".

At £25 per unit - 1m units could be worth £25m on the next order 'if' won ?

We know that once these units are installed/ordered, they want them to operate seamlessly/talk to each other so it limits other alternative technology when you have already a high volume such as 360k being put into service.

If they were to win 25% of the 33m Iranian 'electricity' meters over the next 5 years, it could represent £200m of business just from 'electric meters alone. If further orders are on the cards, having funding sorted is no bad thing.

This a TW ploy to pick up the shares on the cheap. He has done this on many occasions on various stocks. Even if there is placing at 0.21 pence then this will finally sort out the cash issue for Cyan. It can only be good for long term
prospect.
Any thoughts?

There will no doubt have to be some debt arrangements given the scale of orders and the pipeline of leads that could result in potential conversions. So no surprise there. The only issue is what exact process/arrangement that this would entail. It could be drawdown arrangements with a bank or funded through a placement + drawdown.

I am pretty sure that given the dilution that Directors have suffered over the years, they would be equally keen to avoid it, if at all possible. Let us see, not long to wait I would imagine. Any placement is likely to be coupled with some contract news hopefully :)

ofcourse, anyone involved in placing discussions is made an insider, so news of a placing should never get out, yet time after time we see shares fall in advance of a placing as ,presumably, insiders and associates sell. Which also helps them get a cheaper placing price.
it's wrong, actually it's illegal but nothing ever gets done about it.

The reality is that your view is just as speculative as hami's and mct's. If I was Cronin I would probably seriously consider any opportunity to strengthen the coffers at this stage.

None of us know. (Bar the insiders). We'll just have to wait and see. MC.

This is now going to be a news-driven share based on commercial deals. I like charts but not sure they help too much here, if we are fortunate we will see a consolidation flag develop? A lot of people have made paper gains of 60-80% in the past 6 months so top-slicing like Herald is one way of managing Greed vs Fear; I have been doing similar.
