One might wonder why Kemche has posted 2,281 times going back to 2021 if he’s not invested in Chill.

Bbm. I know this is practically worthless right now but the share is suspended. What can shareholders do right now. Nothing but weep. When we get the chance im sure a lot of us will sell

Jonesy, Did you read any warning signs that maybe there was something amiss here? I seem to recall that some on here had expressed reservations. But no doubt I am mistaken.

We all attempt to emulate kemches financial prowess but sadly only a few can truly achieve it.

No Kemche. That wasn’t my view when I first invested in chill. There has obviously been a lot that’s gone on since.

If only we were all as smart as you Kemche.

In the fullness of time I can well envisage Callum gracing the board of a FTSE 100 company after he completes his GCSEs. His mum has said that he can travel into the city, unaccompanied, as long as he is back by teatime.

I wonder what Lionel kipper (who used to be village pidgeon) has to say about it*

*some of that post may not be true.

Kemche, Jonesy is being brutally realistic. The Toxic Twins have walked off with the entire US business, the domain and the trademarks. The UK and European revenue was very low even if sny still remains insider the Chill plc umbrella. Jonesy would have very reasonably been expecting decent and growing revenue. Now not so much.

The real loser is Swann. He has funded CHLL to the tune of millions in the last 14 months (something like £3.5m In cash and equity) and that has all gone snd I bet the Toxic Twins laundered it away in the USA. He said that Callum was one of the most outstanding CEOs he had met. Now not so much.

You invested not expecting much revenue at all??? Certainly a novel approach to investing!

Jonesy, Do you have any forecasts that you are working from? What revenue and net profit are you forecasting?

I suppose though that we are doing the majority of our business through the retailers. So although losing control of the domain is an outrage it won’t be the end of Chill. The number of retailers is picking up and the new product looks very promising.

Looks as though the heist was planned way back then. So it’s reasonable to think that they know they are going to get away with it.

Read the last paragraph of this summary. Callum was CEO because he was an inexperienced patsy. Why else did the Toxic Twins step down and allow Callum to be CEO? His CV is utterly devoid of experience.

“Why is having a quorum important?

A quorum for board meeting is essential in safeguarding the integrity of the decision-making process. It should represent the majority number of board members present in the approval or decision-making roles.

When a quorum is not present, certain actions become impossible to carry out. For instance, members cannot provide unanimous consent or issue a notice for another meeting. In both scenarios, the lack of a quorum prevents the attainment of a sufficient number of members required to achieve a majority.

It makes no sense when board decisions are not balanced and well-informed, as this may just result in overturns by the subsequent meeting where more members are present. Perfect attendance at every board meeting is rare, so the quorum ensures enough members are present for a reasonable majority vote.

Setting an acceptable minimum number of members to be involved in decision-making protects the board and the organization from the risk of misrepresenting the whole board — making decisions that may not entirely benefit the entire organization and its stakeholders.”

So we’ve lost it. Well Callum did
jonesy27

Well. As it was approved by a Board Meeting I guess it was legal. Certainly legal enough to prevent the domain registrar from returning it. The transfer was utterly disgraceful. But legal. The problem is that quorum was not part of the corporate governance to prevent this kind of thing. Like the lack of remuneration committee.

Anyone know for definite if the transfer was legal/illegal?

If you look up the domain owner you can see ownership details were updated on 31/5/24. The worry is that Chill.com could be now sold to another company in the USA and the trail is dead.

Purchase. I think we have lost control of the US side of things completely. Yes it’s completely twisted

MX. Cheers. Yes why play with fire when it’s just another product that’s not going to sell

So the same rules apply even though it’s only listed on the US site. And we can’t do anything about it as the Americans have control of it

It says “managed by Chill NA”. So it is Toxic Twins now. Callum has no jurisdiction. He is sitting in a small room shouting “what happened. What happened?”.

“The proceeds from recreational cannabis companies, even when they are located in those jurisdictions that have legalised it, are considered to be proceeds of crime by the FCA and therefore the securities of such a company would not be admitted to listing on the Official List in the UK”

Why play with fire!

Is it allowed because it’s in a part of the US where it’s been legalised?
