It is about time since last announced but please keep in mind that it is announced by Govt organisations and it is not in the control of Carter and Carter. CEO announcement -> likely to be soon. Second round interviews ongoing. Discussions with Banks -> They are still ongoing. Not clear what are positions from two sides (i.e. are banks asking for some equity issue to repay debt? Is company holding on to its guns? What are two sides discussing -> refinancing/renewal? etc). There are not short term fundings/commercial papers etc which would need to be rolled over. That is a good news. The debts is in the form of credit lines coverred by covenants and banks can either call the loan bank on breach of covenants, freeze the lines or enter into some re-negotiations. It is quite evident from the acquisition that banks are not taking any drastic steps like calling the loan back or freezing the credit lines. This is a good gesture and indicates that some mutual resolution on debt reduction will be soon. However what would that resolution be it anyone's guess as of now. Bid/Takeover etc -> they are still rumours at this stage and will remain as long as the share price is attractive. However I feel (to be confirmed) that the debt certainly might have a "change of control" convenants and therefore the buyer/bidder not only would need to convince shareholders to sell but also re-negotiate the debt from the bankers so that they can waive the "change of control" clause. This might indicate why it has taken so long for the bid to materialise if at all it is on-going. However, one can also speculate that this is what has been discussed with bankers for so long and therefore it has taken so long for a formal statement regarding discussions with the bank on funding covenants and 2007-08 funding. Underlying Business -> seems to be humming along well. Therefore on balance of opinion, the shares should form a range 110 - 130 (with bias remaining on the upside for breakout on positive announcement. If so they with be giving notice within the next couple of weeks. What do you lot think the results will be like. Will they be near the original forecasts or close to the latest forecasts.
