Here is some of the contract info from previous trading updates

Carter & Carter had been shortlisted in all 15 Phase 1 districts, but has not
been selected as preferred bidder in any of the districts. We expect to meet
with senior Government officials shortly to understand this further.

Carter & Carter is shortlisted in four of the sixteen districts for Phase 2 and
tender bids are due to be submitted on 19 July 2007. Preferred bidders are
expected to be selected during September 2007 with operational delivery due to
commence in April 2008. The four districts in which Carter & Carter has been
shortlisted are worth £45 million over three years.

Carter and Carter has outstanding bids with the LSC in relation to the current
work based learning tender round and, to date, has been successful in several
bids where it is currently in post tender negotiations. A further update will be provided in due course.

and.....

The Board is pleased to announce that the Group has achieved a good level of
success in the Learning & Skills Council's recent work based learning tender
round. It is estimated that the LSC has put around £140 million of work based
learning activity out to tender. From this the Group has secured new additional
business across a range of existing sectors in all nine English regions which
will generate estimated annualised revenues of at least £10 million.

And news from the banks....

Discussions with the Group's bankers are continuing and a further update will beprovided when the Group's preliminary results are announced in October.

So much news to come, lets hope its positive!!!!!

The last info from Carter was that the CEO would be announced in September as they've just finished round 2 interviews.

The £10m contract revenue came with the recent acquisition in NI.

The rest of this month could see some very, very blue days - good luck all!

acquisitions team at spx very active at the minute and things taking time. they are also in france on a deal i believe. couldnt get confirmation that they are preparing a bid for cart, just that they are busy. ive been holding off waiting for confirmation but think i'll buy back in on monday. i am 99% certain from what ive heard so far that they will bid - the guesses are £2 per share, nice premium.

imho and dyor etc.

£10m pa was the ones they just won. Thats additional to recent reported turnover. i didnt take a position again as i still haven't heard anything more concrete on a bid, although it still appears to be expected.

I am sure the value was just under 50 million so your about right there bushell.

"IF they do get the contract then this will absolutely fly, if not we return to the levels we were before....I am in from 66p so more than happy to gamble my profits.

Be lucky to all & have a great weekend & bring on some news soon....A new CEO would be nice news before the contract win. Wouldn't that all fit into place nicely for a return thru the £2 barrier...

Although I'm bullish on fundamentals, I'm now quite bearish short-term.

A drop below the 20-day MA recently, has led to a decline in that MA and may act as resistance at 111.

The sooner we get some good news, the better...

Over last two/three weeks, I am beginning to firm up opinion that short positions/stock on loan is being built by professional players (and not small time PIs) in anticipation of placement below market level sometime in future. Who knows, even the banks which are discussing the debt levels, their investment banking deparments are building up such positions while their lending department pressure the company into placing shares/raising equity to cover the debt covenants.

Now it is a big and decent gamble either way and it seems to be a big time gamble.

If the company manages to raise equity at decent price level (say they find some "strategic investor" -> these days cash rich SWF from China or Middle East :-) ) to take a large stake at above market/at market level, this will be a positive news and would force liquidation of the positions.

If the company is forced to issue a deep discounted right issue, the holder of short position might be able to buy these rights for cheap, and use the stock issued to cover the stock on loan position thereby laughing all the way to the bank.

The management on all previous conversation have expressed that D4E or a discounted rights issue is not a favoured option for them and I hope they are fighting their corner well during the discussions with the bank. the uncomfortable part is that these discussions have gone on for a long time now and it might be a matter of finally who blinks first.

Given that banks allowed them to acquire and spend more money can mean two things

a) either banks are happy and supportive and in that case the discussions are progressing well. This may end up as doom for the the short position holders. OR

b) banks are happy loading them with more and more debt in order to twist their arms more and force them to change their position about right issue/placement. This can be bad news for long positions.

The truth could lie somewhere in this two extremes and I wish someone's crystal ball had a foresight.

.........probably many investors here wouldn't baulk at a rights issue say 1 for 3 at 90p or so. Better than D4E, which I don't think is in the frame anyway. The banks seem to be very supportive.

v01101999 - it seems to me the high loan stock could be for one of two reasons: a) shorting due to expected poor company (and sp) performance moving forward. b) shorting in the "expectation" of a fund raising at discounted share price to reduce debt levels

A drastic share price reduction would need to occur to allow that size postion to be covered at a profit. Problems with renegotiating credit with banks? The recent purchase would indicate that they are still being supportive, so this seems unlikely to me. I think b) more likely - otherwise some people are taking a hell of a gamble..
