19/7/2024 16:05 | cocorico2009 Any bidder has at least 4 hurdles to overcome. 1) They need to persuade the IPs which own about 33% to sell at the bid price. Years ago the rule of thumb was 10 x the price paid but that assumed a sale within 10 years. At least 1 IP shareholder (Miton) bought in 2014 but I cannot find the price paid. 2) Even more importantly they need to persuade SBS, IM and all the other employees that the deal is good for them. 3)Then they need to persuade the IPs, some of whom invested in 2000, who have foregone growth and dividends elsewhere that they have got a fair return. There are 3 bridges that the share ownership creates: 50% * 1 = control 75% = ability to pass Special Resolutions 905 = the bidder can force outstanding shareholders to sell at the highest price that they have paid so hey can get 100% ownership. I have never seen a bid succeed below 75% ownership and most want 100%. 4) Persuading the CMA that the bid does not damage competition. For example, if it appears that BIRD will own a world beating product akin to MSFT for video creation the likes of Adobe will come to grief as might also AWS, MSFT and Alphabet So it would need a bidder with deep pockets that is not at the very top of the league so that their purchase would enhance competition | ![]() chriscallen | |

19/7/2024 11:54 | With elevate.io now boasting an excellent set of basic editing functions; transitions, transforms, colour corrections and markers, they are now in a position to push the boat out and grow the user numbers. Although the cake is not yet 100% baked, the expectation is that it is certainly on the way...at least as an editor. The worries about future performance will now subside and, as it does, the share price will reflect the new risk/reward metric by rising to a more sensible level. On my log chart the price needs to reach 7.5p to 8p before properly breaking out of the 3 year bear channel.
