Should Severstal decide not to proceed with a takeover bid for the Company, Berkeley has the option to issue approximately 7 million further shares at an issue price of A$1.45 per share for gross proceeds of approximately A$10.2 million to the same sophisticated investor at any point on or before 31 January 2011, subject to shareholder approval. As consideration for the placement, the Company will issue 200,000 shares to the sophisticated investor or its nominees. Who is the sophisticated investor who has agreed to take 10.3m shares at A$1.45 if the deal fails? APF hold 17.1m, (11.2%), of the 153.3m in issue If its them and the deal fails, then they would have 17.1 + 10.3 + 0.2m = 27.6m of, 153.3m + 10.3 + 0.2 = 163.8m ..... ie., 16.8% -------------------- Maybe I'm being greedy, but I can't help but feel this is a take-out on the cheap. -------------------- What do you value the company at? Severstal is being offered ..... 16.3m @ A$1.7 = A$ 27.7m .. + 153.3m @ A$2.0 = A$306.6m .. ..+ 3.5m @ A$2.0 = A$ 5.5m TOTAL ............. = A$339.8m (£212.4m) Does seem cheap but so is uranium at the moment | ![]() piedro | |

It's currently looking in the ballpark region of £165 million, and that seems too low for a company with this kind of Uranium prospect against the current spot price backdrop. Maybe I'm being greedy, but I can't help but feel this is a take-out on the cheap. I must admit to having been sleeping on the job with BKY (just been letting it slow-burn), so need to come up with what I perceive to be fair value over the weekend. I'm always dubious of initial takeover offers. They are usually too low. I, for one, will be voting against this initial offer. | jimbo55 | |

25/5/2010 12:41 | Good question andrbea. Answer is, who knows? Logically, with the resource in Spain, I guess a listing on AIM makes sense. Uranium is out of vogue as an investment right now (I know, as I put money into GCL in April and have watched it sink ever since). That's not to say it won't be in the future though. I guess the TSX listing comes down to Canada being a mining oriented economy (with more knowledgeable mining investors), whereas the UK investing crowd seem to be behind the curve with the news when it comes to mining stocks. For example, many are chasing Gold at the moment, but far less are looking at Uranium or Rare Earths. Rare Earths are something to be incredibly bullish about as an investment in the immediate future, but I doubt the majority of UK investors have ascribed them any major significance. It'll only be when the cost of consumer electronics increase markedly, if China restricts Rare Earth exports, that a wider audience will make the connection and start to take note. | jimbo55 | |

Amazed this is still so "under the radar" of the PI crowd given the potential here. Quiet bulletin boards are a good sign for me, indicating the mob has not yet arrived. I've done some due diligence, and satisfied myself with the management team, the resource potential (steadily being moved to "Measured" from the "Indicated" JORC Category), and the likely cash position. Just one question about Stephen Dattels. There was a post above stating he was on board, but I notice he resigned from the BOD last September. I assume he now has some kind of holding in the company? Just to save me trawling through a stream of RNS's, please could somebody be good enough to let me know the name of the 'vehicle' he's using for his stake in BKY? | jimbo55 | |

He worked in senior executive roles at ZCCM, Ashanti Goldmines, Caledonia Mining, Gold Fields, and was CEO of Uramin from late 2005 until it was acquired by Areva. Stalker turned skill and luck to account when he cashed out of Uramin and will no doubt be regarding Berkeley as an opportunity to build a serious uranium company. Berkeley Resources has 26m pounds of 450 parts per million uranium oxide at its Spanish projects; analysts familiar with the company reckon this resource will potentially triple in 2010 as Berkeley moves onto the Toronto Stock Exchange, and into production at around 2m pounds a year by 2012. Berkeley's Salamanca project would be the restart of an old mine, one shut down in 2000 by Spanish state company ENUSA following sustained low uranium prices. Relative to other projects with a similar deposit base, Salamanca rates as very low cost on capital expenditure, with operating expenditure likely to be around USD 30/lb.
