Agree with you jockblue, looks a fine deal.

I wonder if thisisme/and or geovest are going to be another of those twisted posters who keeps posting negatively after selling. Hope not, otherwise I may become suspicious of his/her motives for 'talking it down'. -;)

Good deal you say. Take a smallcap company with hardly any debt operating in a highly profitable niche market at a forward PE of 8.8, combine this with a company operating in the questionable PFI market with £52m debt producing a profit of only £1.5m in the 12m period to Sep06 at a cost of £80m (this works out at a historic PE of 53).
The refinancing of debt alone is costing £3m! plus a further £3m for the cost of placement etc.
Only a good deal for the insiders.

I bought when it started to rise last year, so what was intended to be a long term hold (several years) has become a medium term hold, still I did make a nice profit. I am just peeved that the company was sold for 145p, which is considerably less than the 180p price before the news leaked out and very much less than the company would have been worth in a few years if it had stayed independent.

Seems to me 'Miket' had wind of it. Strange how these once only visitors to threads sometimes do.......... Care to comment miket? they never seem to have started any threads of their own, these people.

There is something happening with this company? Could be a bid on the way me thinks and sooner than later!!

I think it's a very bold move by ASF. Having once been involved in a reverse takeover, I know from bitter experience that there's a lot of work involved in integrating the two businesses, and at first glance, there seems little synergy other than the customerbase.

Clearly ASF shareholders will now be much smaller fish in a bigger pond, and we'll have to wait and see what happens. From being a short to medium term play, this has become LTBH. Perhaps that's why This_is_me feels so aggrieved....fair enough, if you want to dive in for a quick profit based on the immediate share price, then this suddenly isn't going to be the share for you.

from skim reading the 31 pages of the RNS, it looks a very good deal, although as Geovest says, it's a takeover by AssetCo in reality. Shame, as the two ASF guys were highly regarded.

Cheers
jb

Some RTOs work out and some don't egoi. It's just in my experience that most don't and the bigger they are the harder they fall. STBR is in a sector I really, really like though - anything to do with pipes etc should do well over the next few years imo. Construction is still widespread, Olympics will provide extra work etc. I haven't looked into the ASF deal enough to make up my mind about it. I was only commenting that in general I don't like RTO. Unfortunately I don't have time to start digging either, Althougfh I will be in a much bettrer position next week. :O)

How the hell could it be a fabulous deal to sell out at 145p a share when the price was rising through 180p before the news leaked out. You must be getting shares at 145p or be a shareholder in the other company or benefiting in some other way at the expense of the rest of us.

I don't like reverse takeovers, they rarely work out favourable in my experience. I don't hold but just thought I'd put my opinion in the bag. :O)

This is a fabulous deal. Of course the share price is slightly below the current one, but an 8 million company buying one ten times its size, nothing else could be expected.

Cracking ambition and they benefit from the 'reverse' angle. Congrats to Asfare, unlike Geovest, I shall vote very firmly in favour.

Biggest deal for a small cap since ASG set up its satellite business

With Assetco CEO and FD taking over, this is clearly Assetco taking over ASF at a discount to current shareprice. The small investor is again sqeezed out. Institutions hold 59%, Management 30%... they get the £20m placing (more than 2x existing holding) at a discount to support the deal and small shareholders get 2 fingers!!!!!!!!!!!!!!!

That looks like a bad deal for ASF shareholders. I will vote against it.

An excellent press release on Todd Research's website....

07.02.07 - URGENT LETTER BOMB PRESS RELEASE

PRESS RELEASE – 7th February 2007. 16:15
As the manufacturer of the world's first letter bomb detector and with view to the recent spate of letter bomb attacks, Todd Research feels it needs to alert the public of some key information:
Anton Sechell of ACPO (Association of Chief Police Officers) has this evening advised that postal screening equipment is used by all companies as a means of protecting their staff and properties.
Contrary to some claims, desktop metal detectors CANNOT detect mail bombs; they can alarm when they see metal but cannot tell you any more information.
An X-ray screening unit should have the capacity to screen from a single letter to a large box – anything smaller is insufficient
Postal terrorism threats have changed dramatically in the last two years. If you are buying equipment, ask the manufacturer, was the software on the equipment designed after 2005? If not, you are likely to miss key components of explosive devices or small quantities of fine powder. Both Todd's low-cost basixïƒ" and Colortrace® III ranges were designed after 2005 with current threats in mind.
The recent letter bombs are believed to have been contained in padded style A5 envelopes, some with hand-written labels, some printed, addressed to post holders (e.g. a job title) rather than named individuals. The devices did not contain conventional explosives but rather of a small pyrotechnic nature with the intention to cause shock and injuries.
Todd has equipment available for hire, lease and purchase. Please call their hotline: 01245 262233 or email xray@toddresearch.co.uk for immediate advice.
Todd is also running an emergency Safe or Suspect postal terrorism awareness seminar in Chelmsford on 30th March 2007. To book places please contact Todd Research immediately.

A case of bad news that could be good news.

The latest spate of letter bombs and police warning to business to be vigilant and on the lookout for explosive devices in the post, may be good for business at Todd Research, a division of Asfare.

"Todd Research Limited was formed in January 1950 and has since this time evolved into a business focused purely on the development and supply of a range of X-ray, Metal Detection and Blast Suppression Equipment for single-letter to cargo applications."

Thanks Peladon, nice post!

Amazing how these sleeper stocks eventually catch the eye of some tipster. Worth digging out imho - and well done Peladon for getting in! -:)

PS: My new one is called Mastermailer, (Plus:MMHP) true niche market, 500 customers, no direct competition in Europe and the first Plus stock Close Bros have (as far as I know - and I am the most boring Plus anorak -( ) ever invested in! Market cap now less than what ASF was when I started this thread (at 80p) - same potential.
