On top of that, £250,000 paid out in cash on completion, £6,250,000 in deferred cash consideration (as well as all those interest and royalty payments), and they've assumed £1,400,000 of debt to boot. "As a result of the issue of the Initial Consideration Shares and Additional Consideration Shares and following the issue of the Initial Subscription Shares detailed below, Forum, will hold 637,000,000 Ordinary Shares in Angus representing approximately 28% of the Enlarged Issued Share Capital and just under 25% of the Enlarged Issued Share Capital following the issue of the Secondary Subscription Shares below." Now on 20th January 2022 Forum Energy Services had 12,500,000 shahres and had already been selling down, as per the Forms 8.3 issued at that time, which as I've already indicated in my opinion may have been in breach of Takeover Code Rule 4. So since Forum Energy Services will be getting 91,000,000 plus 546,000,000 consideration shares, which comes to 637,000,000 shares, it would seem that the 12,000,000 shares previously held have been sold in the interim period. Since the FSP involved the potential sale of Poundland then Forum, as 49% owners, would surely have to have been privy to information that would mean that they would be classed as an insider?
