From the original RNS.
In order to become Effective, the Scheme must be approved by a majority in number of the Amerisur Shareholders voting at the Amerisur Court Meeting, either in person or by proxy, representing at least 75 per cent. in value of the Amerisur Shares voted. In addition, a special resolution, to deal with certain matters ancillary to the Scheme, must be passed by Amerisur Shareholders representing at least 75 per cent. of the votes cast at the Amerisur General Meeting.

Correct me if I am wrong, but I believe it is only Geopark who have to obtain 75% of the vote in the first instance, under this scheme of arrangement, for their bid to succeed. Should it fail and then fail again in the following AGM then it is open season and an entity gaining 50.01% would have control!

sharesure. The fact you and others have mentioned having problems voting, makes it almost impossible for any potential new bidder.

Under this process they have to gain 75% to succeed, or even more than that to take over completely a company.

How can they do that when nigh on 25% of the company has been irrevocably promised to Geopark bid.

That's been covered multiple times in posts already.

If you were a would be predator, but you knew that the BoD, along with a major shareholder and a broker had made irrevocable undertakings to support Geopark bid at around 25% of the company, and where because of this process a bidder requires 75% it would make it nigh on impossible for any predator, because they would have to obtain almost EVERY OTHER SHARE to succeed and that also doesn't include those who won't bother to vote.

If it's such a scam/rip off by the board selling AMER on the cheap,
how come there's been no counter bid? Not yet, anyway...

nunc - Selftrade very much what they call themselves - self service.
Their admin is slow and cumbersome compared to Walker Crips and H Lansdown.
They F'ed up my xr allocation in FUTR which cost me the thick end of £25K.
I'm looking for selected replacement and will radically reduce what I have with them.

So, according to the eye, the options are exercised 3 days after the vote. That's 1 day to count the votes, then the weekend and then, at 7am on the Monday, before the outcome is known, the board cash in quick, before the share price collapses back if the bid is rejected.Doubles all round I say.

Would never surprise me if the bid is blocked by Merger & Takeover Panel or FCA or LSE.

If the media like Private Eye are alleged to be publishing concerns it might put a cat amongst the pigeons and be picked up by authorities involved.

"Right to sue for wrongful acts: Shareholders can take legal action against the company's board of directors if the board committed wrongful acts. This does not mean that shareholder can sue people who made good faith decisions that that ended up hurting the company. Shareholders can bring a lawsuit against board members who acted in their own self-interest at the expense of a business."

Can't work out whether Selftrade are being deliberately obstructive or just don't read the emails they are sent. I have twice instructed them to vote no in my holding and twice received a form response which suggests they haven't read it and haven't acted on it. Fortunately and perhaps not surprisingly, my holding with them is quite small. Luckily, my other two brokers are a bit more pro active Q
