10/9/2014 12:05 | A few notes from last night. As I said I've never heard of the company before last night. Zafar Karim gave the presentation even though he was suffering with a throat infection. He started by stating the Market Cap of 25M and reiterated it several times during the night. Two parts to this company which was formed 2 years ago. Rig manufacture - takes time Metals trading giving income now Did a good sales pitch of why to build rigs even giving the old anectdote of those making money by selling shovels in the gold rush 80% of global energy is still from fossil fuels Oil rigs cost in the region of $200-250M There is a shortage and many are 25years old Safety regulations have been tightened. he talked about the wealth connections. Glen Lau seems to have a bit of money. Also the ties with YZJ holdings the Chines shipbuilder. he gave the case of a rig being built for $200M and then being leased for $70M per year. Payback in 3 years. Compared the company to Lamprell which he said had a market cap of 500M (585 at today's sp) Amadeo 25M Lamprell have 900 square metres of rig yard YZJ have 1.6Msquare metres. Lamprell have 860M orders Amadeo have 200M The first rig is to be delivered next year for 170M Because they need steel they have made contacts with metal brokers in China. 80% of the brokers orders are fixed contracts. It made sense to get into that side of the business. He mentioned the amount of tonnes but I didn't note it and I think he mentioned a profit of $2-4 profit per tonne. Rig orders are all bespoke. Capacity for 10 rigs Cash burn is just £400K per year. Now they have made one rig others come to see it and have been impressed. Those were all the notes I made. It was a very well delivered presentation and I was left with the impression that the potential significant growth will be realised. | ged5 | |

I must admit though that at times I kept thinking if something is too good to be true.... Corporate Governance As an AIM traded company, Amedeo Resources Plc is not required to comply with the UK Corporate Governance Code. However, the Board is committed to complying with best corporate governance practice as set out in the Quoted Companies Alliance guidelines where appropriate, given the size and operations of the Company. This includes evaluating directors' performance, the management of the Company, and ensuring that it maintains full and effective control over appropriate strategic, financial, operational and compliance issues. There is no separate Audit, Remuneration or Nomination Committee as the Board considers that, given its current size, all members of the Board should participate in those roles and responsibilities normally reserved for such committees. Therefore, the full Board of Directors provides a forum for reporting by the Company's external auditors. Model Code for Dealing The Company has adopted a model code for dealings in shares by directors and senior employees which is appropriate for an AIM company. The Directors comply with Rule 21 of the AIM Rules relating to directors' dealings and take all reasonable steps to ensure compliance. Board and Directors The Board comprises two Executive Directors, a Non-Executive Chairman and a Non-Executive Director. The Chief Executive Officer and Chairman roles are split. The Non-Executive Chairman, Mr Ghanim Al-Saad, is a beneficial owner of the Company's largest shareholder, Qatar Investment Corporation. Mr Philippe Petitpierre, the Non-Executive Director, holds no shares or other interests in the Company and is considered by the Board to be independent. The Non-Executive Chairman and Non-Executive Director currently do not receive any remuneration for their roles. The Directors work together throughout the year.
