On 31 March 2022 it was announced that Harry Rein will leave at the earlier of the date of this year's AGM or 31 May 2022.On 31 May 2022 it was announced that Harry Rein will now remain until 16 June 2022.Does this comply FCA rules??

Would have thought shareholders deserve an announcement today to explain what the hell is going on."Harry will leave the Board at the earlier of the date of this year's AGM or 31 May 2022."With no sign of an AGM let alone the results does this mean the Chair leaves today..who becomes Chair..does the stock get suspended as this would leave only one director?What an absolute shower..they have no respect for their shareholders and no competence to hold roles in listed companies.

If they don't get AGM before end June do they get suspended?As said before difficult to see new directors joining without the report and accounts signed off..is this a stalling tactic for whatever reason i just can't imagine?Current cash must be narrowing in on $10m now..since they announced a monetisation policy they have got through most of the money...i didn't think that was the idea to be honest!

I've never seen anything like it before. Come next Tuesday, I think he'll still be there. Like you indicate, minimum notice of agm 21 days and agm must be within 6 months of the company's financial year-end. It does seem possible to have shorter notice if all company members agree. I think that next Tuesday I'll be sat here with nothing to see.

Since the AGM has to be held before the end of June and the report and accounts and notice of AGM needs to be sent out giving 21 clear business days notice ..i would say it needs to be very soon. Almost 2 months after last years release and no explanation or guidance. Also Harry has agreed to step down the later of the agm or end of May so that looks imminent ...With no sign of the results let alone AGM in site and no sign of replacement directors wondering if he is going to jump before signing off accounts and not appoint new directors which would leave the shares suspended i guess. All just showing what an absolute shower they are.
As to the sale process that will be coming up for 3 months since announced soon and not a peep of an update..though as i have said before who can expect any serious interest or even new directors wanting to jump aboard with no up to date report and accounts available is simply not going to happen. I’m afraid they will leave a shambles and have overseen further destruction in value ..the overall NAV and cash % will already be well down year on year of their tenure and they can’t even get the report and accounts to shareholders in a timely manner..where does the $5.5m to run the company go ???

So would i but since the assets at best are worth 38.5p and maybe that is generous i am managing my expectation in terms of return to shareholders. Still be nice to see the 2021 report and accounts , the chances of anyone actually bidding when the company is in a strategic review process without up to date accounts seems remote..but I'm sure they know what they are doing ...fat chance!!

The tr 1s are slightly confusing..see date of purchase /sale whatever ..don't think they made correct standard disclosure when they purchased. The P3 VC had already made its takeover code disclosure earlier along with other holders of more than 1%..P3-VC were over 3% and had not disclosed ..so its all a bit after the event those disclosures anyway.Does not appear to have been any change in holdings of the major holders since this strategic review process launched.As i said i think it was a stalling strategy to save Harry they had no idea how to attract an offer for the company. It is also completely against their comments last year that such a fire sale was in nobody's interests..oh well.
