I'll try and clarify it sufficiently to satisfy you.

From the RNS of 25th July:

Following the publication of this announcement, the Directors of ADDleisure intend to subscribe.....

and:

Due to the exercise of warrants referred to above, application will today be made for a total of 10,000,000 new ordinary shares to be admitted to trading on the AIM market of the London Stock Exchange.

The new ordinary shares will rank pari passu with the existing ordinary shares
of the Company and dealings in the new ordinary shares are expected to commence
on 29 July 2005.

Hopefully, you can now see that warrants were converted "just before the end of their financial reporting period", as you have kindly quoted from my earlier post.

Although it isn't strictly necessary to have adequate funding at the year end date, it is necessary to have adequate funding available for the 12 months to the next year end for auditors to sign off as a going concern, without qualification.
However, raising the cash just before year end has the psychological effect of making the cash figure on the reported balance sheet look healthier.

I hope the above helps. If it doesn't can I suggest that you get yourself a book, as previously suggested.


Therfore, we are back to the question of why ADE needed to inject £450k of cash at this stage. As we've already said, if directors merely wanted to signal confidence they could have done that at considerably lower expense, with a few market purchases. It appears that ADE need the cash....

I understood the year ens was 31 July and the warrent were converted in august therfor after their year end..correct?

and a financial reporting period is to 31 July and not to when the accounts are signed off, that is a subsequent event or post balance sheet event which I think this was.

The exercising of the warrants at that time may (or may not) be significant. This is conjecture as I describe it and until the results are published, that is all it will remain. It may be that they have increased their cash burn significantly and I would actually expect this since this is a new company developing and promoting new products which from what barnsey has researched, has massive global sale potential. Until the results are produced and more information is in the public domain, much of the financial position arguments are purely hypothetical. It is refreshing to see the discussion return to the products of which more information is avaliable. I do not like to see continual ramping of any sorts, hence my request to keep to facts, but your arguments became personal and completely off topic in the end.

daveW - whilst I would agree with you that any attempt to hold a sensible converstaion with wowyea is particularly useless, I can't agree that discussions about ADE's financial position are not just as important as articles about the products.

The fact remains that the warrant conversion appears to be a clever way of injecting needed funds just before the end of their financial reporting period.
Therefore, it makes sense to consider why ADE would need to do that, especially as they had a reasonable amount of cash at the interims.
It certainly raises concerns about their cashburn, IMHO...

Excellent factual post in view of the useless conjecture and off topic rants that has been posted here the last few days. In particular I like the medical benefits that are being touted. If some of the research can be scientifically substaniated and proven we are on to an absolute gem. Alternative medicine that is scientifically proven is worth a goldmine.Let's hope the potential is realised.
