Board Changes


AMEC plc, the international engineering services company, today announces the
appointment of a new chairman, Jock Green-Armytage, 58, who will assume the role
on 21 January 2004.


Mr Green-Armytage, for many years a director and non-executive director of NM
Rothschild & Sons Limited, has a long track record in the investment banking and
private equity sectors. When at NM Rothschild, he was one of the bank's senior
corporate financiers and was a director of its asset management business in the
1990s.


He has held senior positions at the highest level in business and industry
including chief executive of Guthrie Corporation PLC, an industrial holding
company, joint chairman and chief executive of the oil and gas exploration
company Kelt Energy plc, and chief executive and non-executive deputy chairman
of William Baird plc. He was also a non-executive director of the UK electricity
company Norweb from its incorporation until its takeover.


A non-executive director at AMEC since 1996 and currently chairman of its audit
committee and its senior non-executive director, Mr Green-Armytage is also
chairman of the private equity company JZ International Limited and its
affiliated businesses and a director of JZ Equity Partners PLC and a number of
other companies.


Mr Green-Armytage's appointment follows an extensive search, AMEC said.


"After reviewing a range of candidates, both internal and external, we concluded
there was no better man for the job," said Sir Peter Mason KBE, AMEC chief
executive.


"Jock Green-Armytage has been an invaluable adviser over the last seven years.
His appointment brings continuity and an in-depth knowledge of AMEC, in addition
to wide-ranging business experience and acumen. His knowledge of the energy
sector, together with his background in the development of businesses, makes him
a natural choice for the post of chairman as AMEC moves to the next phase of its
growth and development."


The present chairman Sydney Gillibrand CBE retires on 21 January 2004.


"Sydney Gillibrand will be much missed, both personally and professionally,"
said Sir Peter Mason. "We have relied on his wise counsel through the many
changes and developments of recent years, and he takes much credit for making
AMEC the strong international business it is today."


Mr Gillibrand, who announced his plans to retire in August 2003, has served as a
non-executive director since August 1995 and as chairman since July 1997.
