               Posting of Annual Accounts and Director's interest

The Company announces that it has today posted to shareholders its Consolidated
Financial Statements for the year ended 31 December 2006, along with a circular
giving notice of the Company's Annual General Meeting ("AGM") to be held on 16
July 2007 and, provided certain conditions are met, adjourned on 26 July 2007.

The resolutions at the AGM include a proposal that, subject to (i) the
re-election of Mr Tal Barnoach as a director, (ii) the election of two external
directors (as required under Israeli law) and (iii) the approval by the
Company's audit committee and board of directors, Mr Tal Barnoach be granted
options to subscribe for an aggregate of 1,278,006 ordinary shares in the
Company (representing 2.5 per cent. of the current outstanding share capital of
the Company) at an exercise price of US$0.147 per share. The options will vest
over four years, with 25 per cent. of the options vesting on 31 December 2007
and 12.5 per cent. of the options vesting semi-annually thereafter.

Mr Barnoach does not hold any options over the Company's shares at the date of
this announcement.
