Result of Tender Offer

On 21 October 2009, Xploite, the operator and aggregator of strategic high
growth IT services businesses, sent a circular to its shareholders (the
"Circular") detailing proposals in relation to an invitation by Brewin Dolphin
to Qualifying Shareholders to tender up to 19,000,000 Ordinary Shares for sale
to Brewin Dolphin (the "Tender Offer") and a repurchase by the Company of the
Ordinary Shares purchased by Brewin Dolphin pursuant to the Tender Offer (or
otherwise a corresponding number of Ordinary Shares) (the "Repurchase").

The Company is pleased to announce the result of the Tender Offer, which closed
at 3.00 pm on 19 November 2009.

Definitions used in the Circular apply in this announcement unless the context
requires otherwise.

A total of 18,999,901 Ordinary Shares, representing approximately 46.5 per cent.
of the issued share capital (and approximately 100 per cent. of the maximum
number of Ordinary Shares that Brewin Dolphin offered to purchase under the
Tender Offer) were validly tendered (the "Tendered Shares").

The Tender Offer is expected to be effected on 23 November 2009 by Brewin
Dolphin purchasing the Tendered Shares as principal. Brewin Dolphin will then
sell the Tendered Shares (or otherwise a corresponding number of Ordinary
Shares) to the Company as a market purchase on AIM pursuant to the terms of the
Repurchase Agreement.

Post the tender the company has 14.2p of cash and 13p of contingent cash net of liabilities. If you strip out the cash the market is valuing Storage Fusion at £3.5m which is the wrong price assuming it is just turning break even and has a huge potential.

I am trying to get clarity on where the price will be post tender. Somebody said it will be 20p and others say the price will be the same which makes a little more sense because at the same time shares have been cancelled the company loses cash so the status quo is the same.....at least I think it is.

I still go for some action post the tender so they could be cheap. BUT DO YOUR OWN RESEARCH as to where the price will be

yes, can anybody explain those two what appear to be buys of 500,000 could somebody be getting ready for a reverse or bid once they go ex the tender

I wouldn't be at all suprised if Storage Fusion was profitable now!! The business model from here should allow for strong profitabilty from here

of course the buyer may support my idea of a bid pre tender or more especially post the tender or even a reversal when it is a more manageable operation...

they cannot sell back 60% its circa 46% but that means they have taken a gamble on the balance or more especially £95,000 of their investment which to me is positive...but who am I

Solarno, probably looking to sell 60% back at 50p like the directors!! Which could mean they end up buying 160,000 at an average of 34p.
