Placing and Subscription

In order to fund the Enlarged Group's further development, including its working capital needs, as well as the costs associated with the Acquisition, the Company also announces the conditional placing of and subscription for New Ordinary Shares at 27 pence per New Ordinary Share (2.7 pence per Ordinary Share pre the Share Consolidation) with new and existing investors to raise proceeds of GBP6 million.

IMG in for another £1million as a bridging loan to 7Digital, this will be converted to shares,when trading in 7Digital commences.

BOOM starts trading today, with a circa 20% holding, holders here ought to watch that share price carefully , I believe its BOOM or bust within 2 years for Audioboo

Blender - Interesting link showing just what the potential value of the combined UBC and 7 Digital enterprise with its stake in Audioboom could become - more than a 100x its present share price. Interesting future ahead in my view and no doubt a few other shareholders and which should entice many others to climb aboard once we get this show back on the road.

By the way I am expecting the offer/proposal documents to be released tomorrow or the day after so that the USB shares can be unfrozen before the six monthx Aim rule for suspensions expires on Thursday. I have no inside information so this is just based on what has been published on this thread. Of course the offer docs must be completed to the directors satisfaction by then which I am sure they are well aware of. Fingers crossed!!!

...looks like +ve news items recently for Audioboo and UBC.

be interesting to see what the UBC share price does after joining with 7 Digital and the combined entity re-listing...ONE share price has done well, fingers crossed that UBC will as well

"Apple 'To Buy Dr Dre's Beats Firm For $3.2bn'

Apple is set to buy headphone maker Beats Electronics for $3.2bn (£1.9bn), it has been reported.

The Financial Times says the deal could be announced as early as next week, marking Apple's largest ever acquisition.

Founded by rapper and music producer Dr Dre and fellow music producer Jimmy Iovine in 2008, the firm produces 'Beats by Dr Dre' headphones and also runs a music streaming service.

Beats Electronics received a $500m (£295m) investment from Carlyle Group last September, valuing the company at more than $1bn.

It has been reported that Apple is contemplating a Spotify-like on-demand music service.

Some technology analysts have speculated that the purchase plans are motivated by acquiring Beats' streaming arm rather than the headphones division..."

Sir Donald has of course been the chairman ( and an original investor ) of Audioboo since 2010 ;-), so this is an entirely logical move.

Don't forget he also sits on the board of a little company called Qualcom , his kudos is very high

Cole, Cruickshank and Sir Hossein Yassaie on the board, with the dynamic Ben Drury as CEO makes me quite excited , key-role will be the CFO , that will be a demanding job and they need the right person

Have a look at this video-considering what's about to happen Drury's comments at the end are most confusing, unless of course he see's a massive opportunity in being listed...which in light of his comments, he surely must

No idea what UBC will come back to the market after the suspension, I think/hope it will be a lot higher than 6.25p.

The Telegraph seems to have the inside track on UBC. It looks like we have at least another month before we list. I wonder is it worth taking a position in One Delta, although it is already up 107%. If they can make Audioboom work they could easily double again. Has anyone crunched the numbers yet? Can we expect the value of our shares in UBC to increase or stay the same in the new entity?

"Sir Donald Cruickshank, the former chairman of the London Stock Exchange, is to be named chairman of 7digital when it lists on the exchange.

Mr Cruickshank, who has held a series of City directorships and wrote a government report on competition in the banking market in 2000, will chair the listed vehicle into which the online music platform is due to reverse.

7digital is to reverse into UBC Media Group, the cash shell which sold its profitable radio sales business for £11m in 2008. Sir Donald, who was director-general of Oftel in the Nineties and chaired the UK's millennium bug campaign, will be joined on the board by Sir Hossein Yassaie, chief executive officer of Imagination Technologies.

The pair are named in a draft admission document which has begun circulating among potential investors.

The document is likely to be published formally by the end of this month, with 7digital reversing into Aim-listed UBC soon after.

It had been thought Simon Cole, UBC's chief executive, would become executive chairman of the enlarged company, but instead Mr Cole is thought likely to be a non-executive director. Ben Drury, 7digital's co-founder and chief executive, will become CEO.

7digital is a fast-growing music and content digital platform whose partners include Samsung, HTC and Pioneer. Its consumer site has more than 25m music downloads available.

As part of the process, the audio-sharing site Audioboo, in which UBC had a 34pc stake, has been backed in to One Delta, a separate Aim-listed vehicle."

Well an excellent appointment of the former chairman of the Lse to run 7 digital. They are also about to embark on some multimillion pounds fundraising so this good appointment should help. I am feeling more reassured now about our prospects. A firm step in tune with the needs of UBC holders!

DVLA starts tweeting about Digital Radio


The Driving and Vehicle Standards Agency has started promoting Digital Radio, as promised last December by Ed Vaizey at the Go Digital Conference.

The DVLA is tweeting its 10k followers advising how motorists they can convert cars to receive digital radio and will also post articles on its website shortly. This will be followed by messaging in 35 million annual vehicle tax reminders later this year.

That programme of communications started this week with four tweets from the DVLA and re-tweeted by new Government agency Driving and Vehicle Standards Agency.

This is the first time Government Departments have communicated directly to motorists about radio.
