    H&F Sensor Bidco Limited has acquired one ordinary share in SSP Holdings plc in order that H&F Sensor Bidco Limited will be a member of
SSP Holdings plc on the Effective Date and accordingly there will be no requirement under section 103 of the Companies Act for an
independent valuation of the New SSP Shares allotted to H&F Sensor Bidco Limited under the Scheme.  Terms used in this paragraph shall have
the same meaning as in the Scheme Document posted to SSP Shareholders on 4 August 2008.
