Maintenance PLC 9 July 2002 SPRING GROVE PROPERTY MAINTENANCE PLC ('the Company') Despatch of report and accounts The Company on 5 July 2002 sent its report and accounts for the year ended 31 January 2002 to shareholders containing notice of its annual general meeting ('AGM') to be held at 12 noon on 31 July 2002 at The Chesterfield Hotel, 35 Charles Street, London W1. The purpose of the AGM is to consider both ordinary and special business. The ordinary business includes a resolution to appoint joint auditors for the current year. The special business of the AGM will be, inter alia, to authorise the allotment of up to 7.0 million ordinary shares of 1 pence each ('Ordinary Shares') so as to provide the facility to raise the funds necessary to enable to the Company to continue its development as a specialist provider of cost effective repair and maintenance services to the social housing sector. Further details of any placing pursuant to these resolutions would be announced, as appropriate, and, in any event, prior to the AGM. The Directors believe that the resolutions to be proposed as special business at the AGM are in the best interests of the Company and unanimously recommend shareholders to vote in favour of the resolutions as they themselves intend to do in respect of their own beneficial holdings of 5,065,000 Ordinary Shares, amounting in aggregate to 42.03 per cent of the issued share capital of the Company.
