DIRECTOR SHAREHOLDINGS

Sopheon has been notified that a director of the Company has purchased shares in the Company. Stuart Silcock has purchased 2,500 ordinary shares of 20 pence each in the capital of the Company ("Ordinary Shares"). The shares were purchased at a price of GBP3.77 each. Stuart Silcock's total beneficial interest in Ordinary Shares, including those of his wife, as well as his interest in Ordinary Shares held in Bare Trust for his grandchildren has accordingly increased to 277,127 Ordinary Shares.
