On 12 October 2016, RSA Insurance Group plc (the "Company") received notification of the following transaction in its ordinary shares of GBP1 each ("Ordinary Shares") by a PDMR.

On 12 October 2016, 7,805 Ordinary Shares were sold by Nathan Williams at a price of GBP5.545. Part of this sale was to cover the tax due on an award of Deferred Bonus Shares under the RSA Performance Share Plan 2014 which was granted on 6 April 2016 and vested on the same day. This award was subject to Danish regulations which imposed a sale restriction on all of the vested shares for six months after vesting. The sale restriction was lifted on 6 October 2016.
