Further update on the proposed acquisition of Rome Resources Ltd

 

Pathfinder Minerals PLC (AIM:PFP), an AIM Rule 15 cash shell, provides the following update on its proposed acquisition of the entire issued and to be issued share capital of Rome Resources Ltd ("Rome Resources") (the "Proposed Transaction").

The Company notes the announcement made by Rome Resources on 28 June 2024, detailing, inter alia, the date of the special meeting of Rome Resources' shareholders to approve the conditional plan of arrangement in relation to the Proposed Transaction has been postponed from 2 July 2024 to 12 July 2024. As further detailed in the Rome Resources announcement, this postponement has been made to provide Rome Resources' shareholders with time to review the AIM admission document (the "Admission Document"). The Company is pleased to report that considerable progress has been made by the Company and its advisers in relation to finalising the necessary transaction documentation, including work on the AIM Admission Document, given that the Proposed Transaction is classified as a reverse takeover under the AIM Rules for Companies. In this regard, the Company continues to diligently progress the Proposed Transaction towards completion and currently expects to publish an AIM admission document (the "Admission Document") in respect of the Proposed Transaction in early July 2024.
