Result of Annual General Meeting

 and

Issue of Warrants

 

Pathfinder Minerals PLC (AIM:PFP), an AIM Rule 15 cash shell, announces that following the Annual General Meeting ("AGM") held today at 11:00 a.m., all resolutions were duly passed.  

 

Also, the Company announces that it has agreed to issue warrants to an investor relations adviser to subscribe for 100,000,000 ordinary shares of 0.1p each in the capital of the Company (the "Warrants"). The Warrants are exercisable for a period of up to 12 months at a price of 0.30p, representing a premium of approximately 7 per cent. to the closing suspension mid-market price of 0.28p. The Warrants will be performance driven on the basis that the warrants will only vest if the volume weighted average price ("VWAP") for the Company is greater than 0.60p bid-market price for a period of two calendar weeks, being 10 trading days.
