Yump, totally agree with you. In fact when I first heard about the Immediacy offering and how good it was from a designer I started wondering whether MSR would suffer not having a product suitable for the mid sized market.

I think strategically Immediacy would be a great fit for MSR and I believe the market will love this deal (as I do!). I have to admit recently I was thinking of taking some profits in MSR but now I'm happy to hold on and buy for the mid to long term.

PS take a look at the Immediacy website, its pretty good as you would expect.

Thanks for confirming that my memory is still at least partly functioning !

The more I look at it the better the deal gets - can usually find something to moan about eg. overpaying, doubtful fit, dilution etc.

Not with this one. Nice suite of CMS offerings now - all highly rated by customers and they seem to have paid a reasonable price. Not often you get an acquisition like that. Already in profit and growing.

I mentioned Immediacy some time ago as a possible rival and the feedback from a couple of designers was that the company's products were very good and they were recommending them to mid sized clients. Without reading the RNS in detail my immediate (sorry!) reaction is that this looks like an astute purchase by MSR as they will now have highly rated products suitable for small (Pepperio), mid (Immediacy) and large (Morello) customers. The advantages are obvious.

Quick calc:

MSR interim pretax 0.4mln based on 77mln shares.

Immediacy full year pbt 0.5mln. 20mln more MSR shares.

So is that approx. a potential 50% rise in pbt for the enlarged group, while issueing 26% more shares ?

Nice deal if it is...

Can't find it on the thread, but wasn't Immediacy mentioned earlier in the thread as a potential rival and highly rated by designers. If so, perhaps it wasn't a direct rival. Looks like a good fit. Haven't done the numbers yet.

managing content online, simple and intuitive for non-technical users. As a result of its ease of use and rapid
deployment it provides a scalable content management system that is particularly suited to medium-sized businesses.


The average licence and first year support revenue for an Immediacy project is
#27,000. Licence revenues account for 49% of company revenues, with consulting
and support accounting for 25% and 26% respectively.

In the year ended 28 February 2007, Immediacy generated revenues of #3.4
million, representing an increase of 42% over the previous year, and made a
profit before tax of #0.5 million. As at 28 February 2007, Immediacy had net
assets of #1.0 million. The annual value of Immediacy's support base is

Infor Selects Morello from Mediasurface to Manage its Web Content Globally

14 May 2007: Infor, a provider of business specific software that helps enterprising organisations of all sizes adapt to change, today announced that it has adopted Morello from Mediasurface to manage web content across the enterprise. The new Infor site has just gone live and plans to re-launch all of the company's 26 regional sites are currently under way with completion planned for the end of June 2007.

Infor has enjoyed rapid growth in recent years, both organically and through acquisitions, and was looking for a content management solution that would help them manage their extensive global portfolio across 26 regions. The requirement for a single technology that would support their internet, extranet and intranet activities while remaining easy and intuitive for business contributors to use was paramount. Morello provides an easy to use platform that requires minimal training for operation. The infrastructure is easy to adopt and the scalable nature of the solution allows it to be adjusted for multiple areas of operation.

Following the successful implementation of Infor's website, plans are now underway to manage the company's intranet on Morello. Once the intranet is transferred to Morello, employees will have the ability to manage online content and distribute documents themselves without the assistance of the web development team, therefore making the intranet a much more valuable marketing platform for Infor.

Yes that 81% is another reason I bought in.

I did promise some analysis - going to be next week now as got v busy - want to plot the revenues/costs/profits etc. on the sort of graphs MSR might have in the office if I can, rather than just posting loads of figures. Makes it a lot easier to see what's going on.

Yump, 81% of MSR is held by institutions and Management, that's a large and positive measure by anyone's reckoning.

So when Jackson (The head of Sage) says: "Morello continues to attract significant interest and major new sale opportunities exist for the second half of the financial year." I think they (and I) just might take him seriously.

Perhaps most of the shares are held by long termers who are using revenue growth to check they've got a growth share and are not bothered whether profits grow at 20% 35% 50% or more, as long as they get confirmation that they've bought into a real growth share.

Tongue in cheek I know, but that would be quite unusual for a small stock nowadays as there's generally a lot of trading going on, but it does happen I think.

I'm neutral on the chairman's comments about the second half. Am also in RCG, where a 'will meet market expectations' has been taken by some to mean big increases, although the forecast is flat. So by comparison in those terms, major new sales opportunities for the second half is amazingly positive. MSR seem to have been pretty level-headed about announcements, so I'll just take it as on track and wait to be surprised !

Whatever it means, if they just keep increasing revenues at this rate and the costs tail off, I'll be very happy.

Interesting that this has risen pretty much on a daily basis in the run up to the interims, and continues to do so.

While very encouraging results they were hardly earth shattering so is further news on the way?

Err don't thinks that's the case with MSR Diogenes. Management have made similar overtures several times in the past and Always delivered!

chart looks headed for breakout above previous 26p high - might be a little handle to form as we reach the lip, then we could be up there not too far hence. These look very comfortable for the long term, but need to keep an eye on forever spending the profits on further re-launches.

The problem is, Bloodhound, that 'significant interest' and 'major sale opportunities' are not the same as orders and sales. In fact, they are something you mention if you are the Chairman, you want to sound positive, and you are a bit short on orders and sales. So I do not think that we should attach too much importance to them. They confirm that the Chairman's heart is in the right place and he has been well coached by the house brokers, but they do not have any specific meaning. :-)
