                   Reconstruction of the Company - First EGM

The Company announces the passing of the resolutions at the extraordinary
general meeting and general meetings of ordinary and preference shareholders,
held today to consider proposals for a scheme of reconstruction of the Company.
Implementation of the Scheme remains conditional on the passing of resolutions
at the second extraordinary general meeting to be held on 10th January 2003.
